Disney+ Subscriber Agreement

The Walt Disney Company (Southeast Asia) Pte Limited ("Disney+", "we", "us" "our") welcomes you to the Disney+ Service. The "Disney+ Service" includes the Disney+ website, application and associated content and services.

PLEASE READ THIS SUBSCRIBER AGREEMENT ("DISNEY+ SUBSCRIBER AGREEMENT ", OR "AGREEMENT") CAREFULLY BEFORE USING THE DISNEY+ SERVICE.

THIS AGREEMENT WILL GOVERN YOUR USE OF THE DISNEY+ SERVICE.

You agree to the Disney+ Subscriber Agreement by clicking “Agree & Continue” or other industry standard mechanism during the Disney+ registration process and ratify your agreement when you use any aspect of the Disney+ Service. If you do not agree to the Disney+ Subscriber Agreement, you may not use the Disney+ Service. We may amend this Agreement unilaterally and we may also post the amendment on the Disney+ Service. Any amendment will be effective thirty (30) days following such posting of the notice on the Disney+ Service or at such time period as may be notified to you (if applicable), whichever is later. If you do not agree to any change to this Agreement, you must discontinue using the Disney+ Service. In the event only that any amendment of this Agreement constitutes a “material change” within the meaning of the Consumer Protection (Fair Trading) Act (Cap 52A) (Singapore) and the Consumer Protection (Fair Trading) (Opt-Out Practices) Regulations 2009 (Singapore) or any subsequent applicable legislation, we will provide the required notice, which will also contain the details and terms of the amendment. Our customer service representatives are not authorized to modify any provision of this Agreement, either verbally or in writing.

1. USER ELIGIBILITY AND REGISTRATION

a. Eligibility and Age Limitations. Only residents of the countries where we offer the Disney+ Service (collectively, the "Territory") are eligible to register for a Disney+ account. This Disney+ Subscriber Agreement governs the residents of Singapore. You must be 18 years of age or over to purchase the Disney+ Service. The Disney+ Service is provided to individuals for their personal, non-commercial use only. Companies, associations and other groups may not register for a Disney+ Service account or use the Disney+ Service. Individuals under the age of 18 are not eligible for a Disney+ Service account and are not permitted to provide personal information to Disney+.

b. Registration. Only individuals that have registered for a Disney+ Service account, provided certain information (e.g., a valid email address), and have agreed to the Disney+ Subscriber Agreement are eligible to use the Disney+ Service. You are responsible for maintaining the confidentiality and security of your username and password and for all activities that occur on or through your Disney+ Service account. However, if you allow others to access your Disney+ Service account, this Agreement, as well any specific consents you may have provided, also applies to their access, use, and disclosure of information. You agree to immediately notify Disney+ of any unauthorized access to your Disney+ Service account. Disney+ will not be responsible for any losses arising from the unauthorized use of your Disney+ Service account.

c. Notices. Any notices Disney+ delivers to you may be made as follows: (i) by email to the last email address provided by you; (ii) by posting a notice on the Disney+ Service; and/or (iii) any other method utilized by Disney including in-app notification or push/pop up notification. For clarity, you consent to receive electronic communications from the Disney+ Service and further agree that any notices, agreements, disclosures, and other communications that we send to you electronically will satisfy any applicable legal notification requirements. You agree to provide and maintain accurate, current and complete information, including your contact information for notices and other communications from us. You agree not to impersonate or misrepresent your affiliation with any person or entity, including using another person's username, password or other account information, or another person's name or likeness, or provide false details. You agree that we may take steps to verify the accuracy of the information you provide.

2. SUBSCRIPTION TERMS

a. Service Tier and Other Offerings. When purchasing your subscription(s) to the Disney+ Service, you may be presented with different plans or options (each a “Service Tier”). Different Service Tiers or other offerings may be subject to differences in pricing, eligibility, restrictions, features, and device availability. To clarify, such Service Tiers may still contain limited promotional content, such as brief clips about other content available on the Disney+ Service, and branded content or sponsorship messaging. In addition, Service Tiers may offer live Content or special events (and replays and additional viewings thereof) that contain traditional commercial breaks.

b. Subscription and Auto-Renewal. Your subscription to the Disney+ Service includes enrolment into an ongoing/recurring payment plan. Your subscription will automatically renew at the end of the disclosed billing period, unless cancelled in accordance with the instructions for cancellation below. Payment will be charged to your chosen payment method at confirmation of purchase and at the start of every new billing period, unless cancelled. Your “billing period” is the interval of time between each recurring billing date and corresponds to the term of your subscription. Where applicable, charges may be prorated for any partial period of service when you switch into a higher priced Service Tier. You acknowledge that the timing of when you are billed may vary, including but not limited to: (i) if your subscription began on a day not contained in a given month (e.g. if you have a monthly subscription and became a paying subscriber on January 31, your payment method would be billed next on February 28), or (ii) due to free trials and other promotional offers, credits applied, or changes in your subscription or payment method. We reserve the right to change our pricing and, in the event of a price change, we will attempt to notify you of the change by sending an email to the valid email address you have registered for your account. If you do not wish to accept a price change, you may cancel your subscription in accordance with the instructions included in that email or under the “Cancellation and Refund Policy” set out below. If you do not cancel your subscription after the price change takes effect and prior to the start of your new subscription period within the prescribed time period, your subscription will be renewed at the price in effect at the time of the renewal, without any additional action by you, and you authorize us to charge your payment method for these amounts. You are responsible for all third-party Internet access charges in connection with your use of the Disney+ Service. Please check with your Internet provider for information on possible Internet data usage charges. The subscription fee is inclusive of applicable goods and services tax. We will not be able to notify you of any changes in applicable taxes.

c. Free Trials and Promotions. Your Disney+ Service subscription may begin with a free trial. Availability of a free trial is not guaranteed and, if one is available, is only available on the specified terms of the free trial, likely only to those who have not previously used one for the Disney+ Service. Your first payment will be charged to your chosen payment method immediately following the free trial, unless cancelled in accordance with the instructions for cancellation below. You can cancel your subscription at any time before the end of your free trial. We provide notice of the terms of the free trial at the time you register and you will not receive a separate notice that your free trial is about to end or has ended, or that your paid subscription has begun. We may also offer, in our sole discretion, promotions (e.g., a promotional price, bundled subscription, device-specific offer) subject to promotional terms disclosed during your sign-up or in other materials provided to you. Unless otherwise stated in the promotional terms, we will bill you through the payment method that we have on-file for your subscription at the then-current, non-promotional price after your promotion ends unless you cancel prior to the end of your promotion.

d. Cancellation and Refund Policy. You can cancel your subscription at any time before the end of the current billing period, free trial or promotion. Cancellation will take effect at the end of the current billing period, free trial or promotion, unless otherwise disclosed. To cancel your Disney+ Service subscription, navigate to www.disneyplus.com/account/cancel-subscription and click "Complete Cancellation." If you subscribed via a third party (e.g. an app store such as iTunes, Google Play, or Amazon Store), please visit our Help Centre for instructions on how to cancel. Cancellation will only take effect at the end of your current billing period (or end of your free trial or promotion), and you will still be able to access Disney+ Service until then. We do not refund or credit for partially used billing periods.

e. Payment Details. We will keep your detailed payment information, such as credit card/debit card number and expiry date, on file. We may share your payment information within The Walt Disney Family of Companies (e.g., ESPN, Marvel, Pixar, etc.), if you consent to such sharing during the purchase process. You are responsible for keeping your payment details up-to-date by changing the details in your account settings. Where your details change or are due to expire, where applicable law allows, we may obtain or receive from your payment provider updated payment details including your card number, expiry date and CVV (or equivalent). This enables us to continue to provide you access to the Disney+ Service. You authorize us to continue to charge your card using the updated information. In the event of a failed attempt to charge to your payment method (e.g. if your payment method has expired), we reserve the right to retry billing your payment method. If a payment is not successfully authorized due to expiration, insufficient funds, or otherwise, we may suspend or terminate your subscription. You also agree that we may charge your payment method on file if you decide to restart your Disney+ Service subscription, unless you specify an alternative payment method when you restart your Disney+ Service subscription.

f. Subscriptions Obtained Through Third Parties. If you obtain a Disney+ Service subscription via a third party (e.g., an app store), that subscription is also subject to the third party’s terms, and the provisions in this Disney+ Subscriber Agreement concerning subscription purchase, subscription price, billing, cancellation/refunds, and payment do not apply to that subscription to the extent this Disney+ Subscriber Agreement conflicts with the applicable third party’s terms regarding subscription purchase, subscription price, billing, cancellation/refunds and payments. For subscriptions obtained via a third party, your billing relationship will be directly with the applicable third party. Any fees charged for your Disney+ Service subscription will be billed by the applicable third party using the payment information you have provided to such third party. To cancel a Disney+ Service subscription obtained via a third party, please follow the cancellation instructions set out by the applicable third party. You can visit our Help Centre for instructions on how to cancel a Disney+ Service subscription obtained via a third party.

g. Bundled Subscription Options. We may offer a Disney+ Service subscription bundled with other subscription services, including subscriptions to third-party products and/or services. The terms of the bundled subscription options will be provided to you at the time you register for such bundled subscription options. Third-party subscriptions, products, and services are governed by terms of use issued by those third parties.

h. Account Sharing. Unless otherwise permitted by your Service Tier, you may not share your subscription outside of your household. “Household” means the collection of devices associated with your primary personal residence that are used by the individuals who reside therein. Additional usage rules may apply for certain Service Tiers. For more details on our account sharing policy, please visit our Help Centre.

We may, in our sole discretion, analyze the use of your account to determine compliance with this Agreement. If we determine, in our sole discretion, that you have violated this Agreement, we may limit or terminate access to the Service and/or take any other steps as permitted by this Agreement (including those set forth in Section 6 of this Agreement).

You will be responsible for any use of your account by your household, including compliance with this section.

3. COPYRIGHT LICENSE GRANT AND RESTRICTIONS

a. License. Within the Territory and subject to the terms and conditions in this Disney+ Subscriber Agreement, Disney+ grants you a limited, personal use, non-transferable, non-assignable, revocable, non-exclusive and non-sublicensable right to do the following:

i. Install and make non-commercial, personal use of the Disney+ Service; and

ii. stream or temporarily download copyrighted materials, including but not limited to movies, television shows, other entertainment or informational programming, trailers, bonus materials, images, and artwork (the "Disney+ Content") that are available to you from the Disney+ Service.

This is a license agreement and not an agreement for sale or assignment of any rights in the Disney+ Content or the Disney+ Service. The purchase of a license to stream or temporarily download any Disney+ Content does not create an ownership interest in the Disney+ Content. Such Disney+ Content, including the copyrights, trademarks, service marks, trade names, trade dress and other intellectual property rights in the Disney+ Content, is owned by Disney+, its affiliates and/or other licensors, and is protected by the copyright laws including those of Singapore, the United States, as well as other intellectual property laws and treaties.

b. Restrictions on Your Use of the Disney+ Content. You agree that as a condition of your license, you may not and agree not to:

i. circumvent or disable any content protection system or digital rights management technology used in connection with the Disney+ Service to control access to the Disney+ Content;

ii. copy the Disney+ Content (except as expressly permitted by this Disney+ Subscriber Agreement);

iii. rebroadcast, transmit or perform the Disney+ Content available via the Disney+ Service;

iv. create derivative works of the Disney+ Content; or

v. allow third parties to violate the above restrictions.

c. Restrictions on Your Use of the Disney+ Service. You agree that as a condition of your license, you may not and agree not to:

i. move, decompile, reverse-engineer, disassemble, or otherwise reduce to human-readable form the Disney+ Service and/or video player, its underlying technology, any digital rights management mechanism, device, or other content protection or access control measure incorporated into the video player;

ii. modify the Disney+ Service, including, but not limited to, by removing identification, copyright or other proprietary notices from the Disney+ Content or the Disney+ Service;

iii. access or use the Disney+ Service in a manner that suggests an association with our products, services or brands;

iv. use the Disney+ Service for any commercial or business related use or in any commercial establishment or area open to the public (e.g., lobby, bar, restaurant, diner, stadium, casino, club, cafe, theatre, etc.) or build a business utilizing the Disney+ Content or Disney+ Service, whether or not for profit;

v. create derivative works of any Disney owned components of the Disney+ Service, owned by Disney+ or any of its affiliates or licensors, any updates, or any part thereof, except as and only to the extent that any foregoing restriction is prohibited by applicable law;

vi. bypass, modify, defeat, tamper with or circumvent any of the functions or protections of the Disney+ Service, including using any technology or technique to obscure or disguise your location when you are accessing the Disney+ Service;

vii. index, frame, embed or link to the Disney+ Service in a manner not authorized by us, or to collect information about users for the purpose of sending, facilitating, or encouraging unsolicited bulk or other communications;

viii. access, monitor or copy, or permit another person or entity to access, monitor or copy, any element of the Disney+ Service using a robot, spider, scraper or other automated means or manual process without our express written permission;

ix. damage, disable, overburden or impair the Disney+ Service, including by introducing viruses or any other computer code, files, or programs that interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;

x. use the Disney+ Service in any unlawful manner (whether criminal or civil), for any unlawful purpose, or in any manner inconsistent with this Disney+ Subscriber Agreement, including in a manner that would violate our Privacy Policy and Supplemental Privacy Policy for Singapore or the rights of any third parties or otherwise interfere with any other person’s use and enjoyment of the Disney+ Service;

xi. share your login credentials, including any PIN details, or account with third parties except as expressly permitted by Section 2(h) of this Agreement ;

xii. otherwise allow or encourage third parties to violate the above restrictions;

xiii. remove, modify, disable, block, obscure or otherwise impair any advertising in connection with the Disney+ Service; or

xiv. access the Disney+ Service from locations where we do not have rights, or that are not offered on your Service Tier, or where we do not make the Disney+ Service available.

d. Violations. Any attempt to perform any of the restrictions listed in Sections 3(b) and 3(c) above is a violation of the rights of Disney+, the copyright holder and the terms of this Agreement.

4. USAGE TERMS

a. Disney+ Compatible Devices. Use of the Disney+ Service requires compatible devices, and certain software may require periodic updates, and your use of the Disney+ Service may be affected by the performance of these elements. You can access Disney+ Content with almost any Internet-connected computer or through the Disney+ application available for certain mobile or other devices subject to your chosen Service Tier (Internet connection required) (each, a "Compatible Device"). You are responsible for understanding and complying with any limitations on the use of Compatible Devices. For details concerning Compatible Devices, operating systems, web browsers and optimal streaming support please visit our Help Centre. You can add a Compatible Device to your Disney+ Service account by downloading the Disney+ Service application to the Compatible Device and by signing into your Disney+ Service account through the application. Certain components of the Disney+ Service or Service Tier may only be compatible with a subset of Compatible Devices or require downloading certain software, even if other aspects of the Disney+ Service can be accessed on any Compatible Device.

b. Internet Connection. You must have a high speed Internet connection in order to access and use certain aspects of the Disney+ Service.

c. Streaming Disney+ Content. Disney+ Content can be streamed through the Disney+ Service over an active Internet connection. The number of concurrent streams that are allowed for each Disney+ account at any time depends on your Service Tier. The number of concurrent streams available for use may change from time to time at our discretion. Please visit our Help Centre for more information on the number of concurrent streams permitted based on your Service Tier.

d. Downloading Disney+ Content. Disney+ Content may be available for temporary download for offline viewing on certain Compatible Devices based on your Service Tier or type of Disney+ Content. The number of temporary downloads available for Compatible Devices, and the length of time that certain temporary downloads remain available to you for offline viewing, may be subject to limitations by Service Tier, and such limitations may change from time to time at our discretion. Please visit our Help Centre for more information on the limitations on temporary downloads that apply based on your Service Tier or type of Disney+ Content.

f. Disney+ Content Availability. We reserve the right to add, remove, modify, curate, or edit the Disney+ Content on the Disney+ Service at our discretion and we are not obliged to disclose our reason(s) for doing so. Access to the Disney+ Service from locations where we do not have rights, that are not offered on your Service Tier, or where we do not make the Disney+ Service available is prohibited. Geographic restrictions will be enforced according to the location from which you are accessing the Disney+ Service, and we may use different technologies and methods to verify your geographic location. From time to time, we may offer you the opportunity to watch Disney+ Content that is not included in your Service Tier. For example, subscribers of a Service Tier that are otherwise limited to on-demand streaming may be able to watch certain live Disney+ Content. If we offer this additional Disney+ Content on a promotional basis, we retain sole discretion regarding the availability of the Disney+ Content, your eligibility to watch the Disney+ Content, and the requirements to access the Disney+ Content.

g. Force Majeure. It is possible that the Disney+ Service and/or some or all Disney+ Content may not be available for streaming or downloading at any given time including (i) during any maintenance or update periods, (ii) any power or server outages; (iii) as a result of war, riots, strikes, social unrest; or (iv) as a result of other matters beyond the control of us or third parties (“Force Majeure”). Disney+ will take reasonable efforts to provide you with as much prior notice as possible of service interruption. Where the Disney+ Service is unavailable for such reasons or reasons beyond our control or our third party service providers, Disney+ shall have no liability to you in such events. There may be times when we have to remove certain features or functionality and/or devices or platforms from being able to access Disney+. We will do our best to let you know of any of these changes, usage rules and restrictions, but you acknowledge that we may do so in our sole discretion at any time without notice.

h. Suspension and Discontinuance of Disney+. You agree that we will not be liable to you or any third party for any modification, restriction, suspension or discontinuance of the Disney+ Service or Disney+ Content. If you are a subscriber and we suspend or discontinue your subscription to the Disney+ Service, we may, in our sole discretion, provide you with a credit, refund, discount or other form of consideration corresponding to the duration of your suspended or discontinued access or other form of consideration, in accordance with applicable laws. However, if we terminate your account or suspend or discontinue your access to the Disney+ Service due to your violation of the Disney+ Subscriber Agreement, or as a result of Force Majeure, then you will not be eligible for any such credit, refund, discount or other consideration.

i. Promotional and Experimental Features. In our continued assessment of the Disney+ Service, we may from time to time, with respect to any or all of our users, experiment or otherwise offer or modify certain features or other elements of the Disney+ Service, including promotions, features, advertisements, user interfaces, plans and pricing. Your use of any updates, modifications to, or replacement versions of Disney+ Service shall be governed by this Disney+ Subscriber Agreement and any additional terms you agree to. You acknowledge that these are implemented in our sole discretion, may be subject to additional terms, and may not apply to every subscriber.

5. USE AND SHARING OF CERTAIN INFORMATION

For more information about our collection, use, and sharing of your information please refer to our Privacy Policy and Supplemental Privacy Policy for Singapore, which can be found at www.disneyplus.com/legal/privacy-policy and https://www.disneyplus.com/en-gb/legal/supplemental-privacy-policy respectively, are incorporated herein by this reference. Both documents are always available to you in the Disney+ Legal Centre.

Disney+ reserves the right to, and you agree that Disney+ may, release your details to system administrators at other sites and to law enforcement agencies in order to assist them in resolving security incidents and violations of law.

6. SUSPENSION AND TERMINATION

a. You agree that Disney+ may, in its sole discretion and without notice or liability to you, insofar as possible under local laws, restrict, suspend, or terminate your access to part or all of the Disney+ Service and to any Disney+ Content if Disney+ believes you are using or have used the Disney+ Service in violation of the Disney+ Subscriber Agreement or applicable law or regulations or in any manner other than for its intended purpose and in accordance with all other guidelines and requirements applicable thereto. Without limiting the foregoing, Disney+ may restrict or suspend your access to your Disney+ Service account for cause, and upon reasonable notice to you which may be communicated electronically, that includes but is not limited to (a) requests from law enforcement or other government authorities, (b) unexpected technical issues or problems, or (c) if Disney+ reasonably believes that your Disney+ Service account has been created fraudulently, your Disney+ Service account has been accessed fraudulently, or anyone uses your Disney+ Service account to commit fraud or for any purpose other than its intended purpose and in accordance with all of the requirements applicable thereto. Disney+ also reserves the right, to terminate any Disney+ Service account that remains inactive for one year. The failure to log in to your Disney+ Service account will constitute inactivity for purposes of this Disney+ Subscriber Agreement.

b. You agree that we will not be liable to you or to any third party for any such restriction, suspension, or termination of your access to your Disney+ Service account or the Disney+ Content. We also reserve the right to take appropriate legal action against you for violating intellectual property rights, fraud, or similar grounds for termination. Our decision to delay exercising or enforcing any right or remedy under this Agreement will not constitute a waiver of such right or remedy with respect to any party.

c. Upon termination of your Disney+ Service account, whether terminated by Disney+ or at your request (other than a cancellation of your subscription, in which case your subscription will continue to the end of the billing period), you will immediately lose the right to access streamed Disney+ Content through the Disney+ Service and within a limited period lose the right to view Disney+ Content downloaded within the Disney+ Service.

7. ADDITIONAL PROVISIONS

a. Informational and Entertainment Purposes. You understand and agree that the Disney+ Content you receive through the Disney+ Service is intended for informational and entertainment purposes only. The Disney+ Content does not constitute legal, financial, professional, medical or healthcare advice or diagnosis and cannot be used for such purposes.

b. Disney+ Content Subjectivity. Disney+ Content tends to elicit varying reactions among different people. You, or anyone else you permit to view or access the Disney+ Service in accordance with the restrictions in this Agreement, may come across Disney+ Content that you find offensive, indecent, explicit or objectionable. Also, content ratings, types, genres, categories, and/or descriptions are provided as suggestions to help with navigation, and for informational purposes. We do not guarantee that you, or anyone else you permit to view or access the Disney+ Service in accordance with the restrictions in this Agreement, will agree with them. You acknowledge these risks and your responsibility for making your own choices regarding what Disney+ Content is appropriate for you or anyone else you permit to view or access the Disney+ Service in accordance with this Agreement.

c. Photosensitivities. Disney+ Content may contain some flashing lights sequences or patterns which may affect users who are susceptible to photosensitive epilepsy or other photosensitivities. Additionally, 4K UHD HDR content versions enable greater brightness and colour saturation which may also affect users.

d. Disney+ Content Quality. We use various technologies to provide you with an optimal viewing experience. For example, HD or 4K Ultra HD quality is available for certain Disney+ Content. That said, the playback quality of Disney+ Content, including resolution, may be affected by the format of the Disney+ Content, your Service Tier, location, the speed, bandwidth and specific terms of your Internet service, and the Compatible Devices and/or equipment used, among other factors. The time it takes you to begin viewing Disney+ Content will vary based on a number of factors, including your location, Internet bandwidth, the number of devices simultaneously connecting to the same network, the Disney+ Content you have selected, and the configuration of the device you are using. As a result, we are unable to make any warranties about the Disney+ Content in these respects.

e. Third-Party Services, Content, and Devices. The Disney+ Service may integrate, be integrated into, or be provided in connection with third-party services, devices and/or content. We do not control those third-party services, devices and/or content. You should read the terms of use, safety information, agreements and privacy policies that apply to such third-party services, devices and content. If you access the Disney+ Service using a third-party service or device (for example, an Apple iOS, Android or Microsoft Windows-powered device), then Apple Inc., Google, Inc. or Microsoft Corporation, respectively, or another such company that offers a third-party service or device, shall be a third-party beneficiary to this Agreement. However, these third-party beneficiaries are not a party to this Disney+ Subscriber Agreement. You agree that your access to the Disney+ Service using these devices also shall be subject to the usage terms set forth in the applicable third-party beneficiary's terms of service.

f. Mobile Networks. When you access the Disney+ Service through a mobile network, your network or roaming provider's messaging, data and other rates and fees will apply. You acknowledge that downloading, installing or using the Disney+ Service may be prohibited or restricted by your network provider and the Disney+ Service may not work with your network provider or device.

g. Submissions and Unsolicited Ideas Policies. Our policy does not allow us to accept or consider unsolicited creative ideas, suggestions or materials. In connection with anything you submit to us, whether or not solicited by us, you agree that creative ideas, suggestions or other materials you submit are not being made in confidence or trust and that no confidential or fiduciary relationship is intended or created between you and us in any way, and that you have no expectation of review, compensation or consideration of any type. Disney+ does not claim ownership over any ideas, suggestions, or other materials submitted; however, as to such materials and to the fullest extent permitted by prevailing laws, you grant us a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights to use, reproduce, transmit, display, create derivative works, or otherwise exploit them for any purpose without limit as to time, manner and frequency of use, without further notice to you, with or without attribution, and without the requirement of permission from or payment to you or any other person or entity.

i. Disclaimers; liability limitation. You acknowledge and agree to the essential condition that the Disney+ Content as well as the Disney+ Service are provided "as is" and without warranties of any kind. You have certain legal rights with respect to the Disney+ Service and nothing in this Disney+ Subscriber Agreement affects those rights. To the fullest extent permitted by law, Disney+, its affiliates, licensors, agents, and service providers (collectively “the Disney+ Parties”) each expressly disclaims any promises, guarantees, warranties and conditions, express, implied, or statutory, including but not limited to, warranties or conditions of merchantability, fitness for a particular purpose, accuracy, completeness, availability, security, compatibility, satisfactory quality and non- infringement, and their equivalents under the laws of any jurisdiction. You also acknowledge and agree that the Disney+ Parties do not warrant that the Disney+ Content and the Disney+ Service will be without errors, viruses or other harmful components. The Disney+ Parties do not warrant or otherwise state that the Disney+ Content and the Disney+ Service and will meet your requirements or expectations.

To the extent not prohibited by applicable law, in no event shall the Disney+ Parties be liable for any personal injury, or any indirect, special, incidental or consequential damages of any kind, including lost profits and property damage, even if we were advised of the possibility of such damages, that result from the use of, or inability to use the Disney+ Content or the Disney+ Service, however caused. Nor shall we be held liable for delay or failure in performance resulting from causes beyond our reasonable control. In no event shall our total liability to you for all damages, losses and causes of action exceed the subscription fee paid by you. The liability limitations in this section apply under any legal theory (tort, contract, breach of warranty, strict liability or otherwise) even if the Disney+ Parties have been advised of the possibility of such damages.

j. Jurisdiction. Any dispute between you and The Walt Disney Company or its affiliates shall be settled by the competent Court of Singapore.

k. Choice of Law. This Disney+ Subscriber Agreement and any dispute or claim arising out of or in connection with this Disney+ Subscriber Agreement are governed by and construed in accordance with the laws of Singapore, without giving effect to any conflict of law principles.

l. Severability. If any provision of this Disney+ Subscriber Agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. The unlawful, void or unenforceable part shall be replaced by provisions which are valid and binding and the effect of which, given the contents and purpose of this Disney+ Subscriber Agreement, are, to the greatest extent possible, similar to that of the invalid, void or unenforceable part.

m. Survival. The provisions of this Disney+ Subscriber Agreement which by their nature should survive the termination of this Disney+ Subscriber Agreement shall survive such termination.

n. Prevailing language. The language of this Agreement and the transactions envisaged by it, such as notices, requests, statements, documents or communications, are in English and may also be sent to you in a different language selected by you. If there is any inconsistency or conflict between the English language version and the translated version, the English language version shall prevail and be effective in law and the translated language version shall be deemed to be automatically amended to conform with and be consistent with the English language version.

o. Contracts (Rights of Third Parties) Act. A party who is not a party to this Disney+ Subscriber Agreement shall have no right under the Contracts (Rights of Third Parties) Act (Cap 53B) to enforce any of its terms and the application of the Contracts (Rights of Third Parties) Act (Cap 53B) is expressly excluded.

p. Export Controls. Software and the transmission of applicable technical data, if any, in connection with the Disney+ Service, are subject to export controls. You agree to comply with all applicable laws regarding software and the transmission of technical data exported from the United States or the country in which you reside.

q. Entire Agreement. This Agreement and the provisions referenced herein, along with any agreements or policies that are incorporated herein by reference, constitute the entire agreement between you and us pertaining to the subject matter hereof and supersedes all prior or other arrangements, understandings, negotiations and discussions, whether oral or written. No waiver of any of the provisions of this Agreement shall be deemed or shall constitute a waiver of any other provisions hereof (whether or not similar), nor shall such waiver constitute a continuing waiver unless otherwise expressly provided.

1. 用户资格和注册

a. 资格和年龄限制。仅我们提供 Disney+ 服务的国家（统称为“地区”）的居民才有资格注册 Disney+ 帐户。本 Disney+ 订阅用户协议适用于新加坡居民。您必须年满 18 岁才能购买 Disney+ 服务。Disney+ 服务仅供个人用于私人非商业用途。公司、协会和其他团体不得注册 Disney+ 服务帐户或使用 Disney+ 服务。未满 18 岁的个人没有资格获得 Disney+ 服务帐户，并且不得向 Disney+ 提供个人信息。

b. 注册。只有已注册 Disney+ 服务帐户、提供特定信息（例如，有效的电子邮件地址）并同意 Disney+ 订阅用户协议的个人才有资格使用 Disney+ 服务。您有责任维护您用户名和密码的机密性和安全性，并对在您 Disney+ 服务帐户上或通过您的 Disney+ 服务帐户进行的所有活动负责。然而，如果您允许他人访问您的 Disney+ 服务帐户，则本协议以及您可能提供的任何特定同意也适用于他们的访问、使用和信息披露。您同意立即通知 Disney+ 任何未经授权访问您 Disney+ 服务帐户的情况。对于因未经授权使用您的 Disney+ 服务帐户而造成的任何损失，Disney+ 概不负责。

2. 订阅条款

a. 服务级别和其他产品。在购买 Disney+ 服务订阅时，您可能会看到不同的计划或选项（即各个“服务级别”）。不同的服务等级或其他产品可能会在定价、资格、限制、功能和设备可用性方面存在差异。为明确起见，这些服务级别可能仍包含有限的促销内容，例如有关 Disney+ 服务上其他内容的简短广告以及品牌内容或赞助信息。此外，服务级别还会提供包含传统广告时段的直播内容或特别活动（以及重播和其他观看活动）。

b. 订阅和自动续订。您对 Disney+ 服务的订阅包括注册于一个持续/定期的付款计划。您的订阅将在披露的结算期结束时自动续订，除非您已根据以下说明取消订阅。除非已取消，否则我们将在确认购买和每个新的结算期开始时用您选择的付款方式向您收取费用。您的“结算期”是每个定期计费日期之间的时间间隔，与您的订阅期限相对应。在适用的情况下，当您切换到价格更高的服务级别时，可能会按比例收取任何部分服务期间的费用。您了解，您被计费的时间可能会有所不同，包括但不限于：(i) 如果您的订阅开始日期不在特定月份内（例如，如果您选择月度订阅并在 1 月 31 日成为付费订阅用户，我们将于 2 月 28 日向您的付款方式收取下一月的费用），或 (ii) 由于免费试用和其他促销优惠、应用点数，或您的订阅或付款方式发生更改。我们保留更改定价的权利，如果价格发生变化，我们将尝试通过向您帐户注册的有效电子邮件地址发送电子邮件告知您价格变动。如果您不希望接受价格更改，则可以按照该电子邮件中包含的说明或下方的“取消和退款政策”取消订阅。如果您未在价格变动生效后和新订阅期开始前的规定时间段内取消订阅，则您的订阅将按续订时的有效价格进行续订，您无需采取任何其他行动，并且您授权我们通过您的付款方式收取费用。您需承担与使用 Disney+ 服务相关的所有第三方互联网接入费用。请向您的互联网服务提供商咨询有关可能收取的互联网数据使用费用的信息。订购费用包含适用的商品和服务税。对于适用税项的任何变更，恕无法通知。

c. 免费试用和促销。您的 Disney+ 服务订阅可能会从免费试用开始。我们不保证提供免费试用，如有提供，则须遵循免费试用的特定条款，且可能仅适用于之前未曾享用过免费试用 Disney+ 服务的用户。免费试用后，我们将立即通过您选择的付款方式收取您的第一笔费用，除非您已按照以下说明取消。您可以在免费试用期结束前随时取消订阅。我们会在您注册时告知免费试用条款，在您的免费试用即将结束或已经结束，或是开始付费订阅时，我们不再另行通知。我们还可能根据您注册时或提供给您的其他材料中披露的促销条款，自行决定提供促销活动（例如，促销价格、捆绑订阅、特定设备优惠）。除非促销条款中另有规定，否则在促销结束后，我们将按照当时的非促销价格，通过您存储的付款方式向您收取费用，除非您在促销结束前取消订阅。

d. 取消和退款政策。您可以在当前结算期、免费试用期或促销结束前随时取消订阅。取消将在当前结算期、免费试用期或促销结束时生效。要取消您的 Disney+ 服务订阅，请访问 www.disneyplus.com/account/cancel-subscription，并点击“完全取消”。如果您通过第三方（例如 iTunes、Google Play 或 Amazon Store 等应用程序商店）订阅，请访问我们的帮助中心以获取有关如何取消的说明。取消仅在您当前的结算期结束（或免费试用期/促销结束）时生效，在此之前您仍可访问 Disney+ 服务。对于未使用的结算期，我们不会退款或退点数。

f. 通过第三方获得的订阅。如果您通过第三方（例如某个应用程序商店）获得 Disney+ 服务订阅，则该订阅同时受第三方条款的约束，如果此 Disney+ 订阅用户协议与有关订阅购买、订阅价格、计费、取消/退款和付款的适用第三方条款相冲突，则本 Disney+ 订阅用户协议中有关订阅购买、订阅价格、计费、取消/退款和付款的规定不适用于该订阅。对于通过第三方获得的订阅，您将直接与适用的第三方构成计费关系。因应您的 Disney+ 服务订阅而收取的任何费用，将由适用的第三方使用您提供给该第三方的付款信息收取。要取消通过第三方获得的 Disney+ 服务订阅，请按照适用的第三方所规定的取消说明进行操作。您可以访问我们的帮助中心，了解如何取消通过第三方获得的 Disney+ 服务订阅。

g. 捆绑订阅选项。我们可能会提供与其他订阅服务捆绑的 Disney+ 服务订阅，包括对第三方产品和/或服务的订阅。捆绑订阅选项的条款将在您注册此类捆绑订阅选项时提供给您。第三方订阅、产品和服务受该第三方发布的使用条款的约束。

h. 帐户共享。除非您的服务级别另行允许，否则您不得在家户之外共享订阅。“家户”是指与您的主要个人住所相关的、由居住在其中的个人使用的设备集合。其他使用规则可能适用于某些服务级别。有关我们的帐户共享政策的更多详情，请访问我们的帮助中心。

我们可自行决定分析您帐户的使用情况，以确定您是否遵守本协议。如果我们自行决定您违反了本协议，我们可能会限制或终止您对服务的访问和/或采取本协议允许的任何其他措施（包括本协议第 6 节规定的措施）。

您将对您的家户任何使用您帐户的行为负责，包括遵守本节所述规定。

3. 版权许可的授予和限制

a. 许可。在特定区域内并根据本 Disney+ 订阅用户协议中的条款和条件，Disney+ 授予您有限、供个人使用、不可转让、不可分配、可撤销、非排他性和不可再许可的权利，以执行以下操作：

i. 安装并将 Disney+ 服务用于非商业、个人用途；和

ii. 流式播放或临时下载受版权保护且可从 Disney+ 服务获得的材料，包括但不限于电影、电视剧集、其他娱乐或信息类节目、预告片、奖励材料、图像和艺术作品（“Disney+ 内容”）。

这是一份许可协议，而不是有关 Disney+ 内容或 Disney+ 服务的任何权利的销售或转让协议。购买流式播放或临时下载任何 Disney+ 内容的许可并不构成对 Disney+ 内容的所有权权益。此类 Disney+ 内容，包括 Disney+ 内容中的版权、商标、服务标记、商号、商业外观和其他知识产权，归 Disney+、其附属公司和/或其他许可方所有，并受包括新加坡和美国在内的版权法以及其他知识产权法律和条约的保护。

b. 对您使用 Disney+ 内容的限制。您同意，作为您许可的条件，您不得并且同意不会：

i. 规避或禁用任何与 Disney+ 服务相关、用于控制对 Disney+ 内容进行访问的内容保护系统或数字版权管理技术；

ii. 复制 Disney+ 内容（本 Disney+ 订阅用户协议明确允许的情况除外）；

iii. 转播、传输或演出通过 Disney+ 服务提供的 Disney+ 内容；

iv. 创作 Disney+ 内容的衍生作品；或

v. 允许第三方违反上述限制。

c. 对您使用 Disney+ 服务的限制。您同意，作为您许可的条件，您不得并且同意不会：

i. 移动、反编译、逆向工程、反汇编或以其他方式将 Disney+ 服务和/或视频播放器、其底层技术、任何数字版权管理机制、设备、或其他纳入视频播放器的内容保护或访问控制措施转变为人类可读的形式；

ii. 修改 Disney+ 服务，包括但不限于从 Disney+ 内容或 Disney+ 服务中删除标识、版权或其他所有权声明；

iii. 以暗示与我们的产品、服务或品牌存在关联的方式访问或使用 Disney+ 服务；

iv. 将 Disney+ 服务用于任何商业或业务相关用途，或在任何向公众开放的商业机构或区域（例如，大堂、酒吧、餐厅、餐馆、体育场、赌场、俱乐部、咖啡馆、剧院等）使用，或建立使用 Disney+ 内容或 Disney+ 服务的业务，无论是否以盈利为目的；

v. 为 Disney+ 服务的任何迪士尼（Disney）拥有的、由 Disney+ 或其任何附属公司或许可方拥有的组件、任何更新或其任何部分创作衍生作品，除非有适用法律禁止任何上述限制；

vi. 绕过、修改、破坏、篡改或规避 Disney+ 服务的任何功能或保护措施，包括在您访问 Disney+ 服务时使用任何技术或技巧来掩盖或伪装您的位置；

vii. 未经我们的授权，对 Disney+ 服务进行索引、拟定、内嵌或链接，或收集用户信息用于发送、促进或引导未经请求的批量通信或其他通信；

viii. 未经我们明确书面许可，使用机器人、蜘蛛、网络铲或其他自动化方式或手动流程访问、监控或复制，或允许其他人或实体访问、监控或复制 Disney+ 服务的任何元素；

ix. 损坏 Disney+ 服务、使 Disney+ 服务无法使用、使 Disney+ 服务过载或损害 Disney+ 服务，包括引入病毒或任何其他计算机代码、文件或程序，从而中断、破坏或限制任何计算机软件、硬件或电信设备的功能；

x. 以任何非法方式（无论是刑事还是民事）、出于任何非法目的或以任何与本 Disney+ 订阅用户协议不一致的方式使用 Disney+ 服务，包括违反我们的隐私政策和新加坡补充隐私政策或任何第三方权利，或者以其他方式干扰任何其他人使用和享受 Disney+ 服务；

xi. 与第三方共享您的登录凭据，包括任何 PIN 码详情或账户，本协议第 2(h) 条明确允许的情况除外；

xi. 以其他方式允许或鼓励第三方违反上述限制；

xiii. 删除、修改、禁用、屏蔽、掩盖或以其他方式损害任何与 Disney+ 服务相关的广告；或

xiv. 从我们没有权利之处，或您的服务级别没有提供的地点，或我们没有提供 Disney+ 服务的地点访问 Disney+ 服务。

4. 使用条款

a. Disney+ 兼容设备。使用 Disney+ 服务需要兼容的设备，特定软件可能需要定期更新，您对 Disney+ 服务的使用可能会受到这些元素的性能影响。您可以使用几乎任何连接到互联网的计算机或通过适用于特定移动设备或其他设备（需要互联网连接）（分别称为“兼容设备”）的 Disney+ 应用程序访问 Disney+ 内容，具体取决于您选择的服务级别。您有责任了解并遵守对使用兼容设备的任何限制。有关兼容的设备、操作系统、网页浏览器和最佳流媒体支持的详细信息，请访问我们的帮助中心。您可以通过将 Disney+ 服务应用程序下载到兼容设备并通过应用程序登录您的 Disney+ 服务帐户，将兼容设备添加到您的 Disney+ 服务帐户。Disney+ 服务或服务级别的某些组件可能仅与部分兼容设备兼容，或者需要下载某些软件，即使 Disney+ 服务的其他方面可以在任何兼容设备上访问。

b. 网络连接。您必须拥有高速互联网连接方可访问和使用 Disney+ 服务的特定方面。

c. 流式播放 Disney+ 内容。Disney+ 内容可以借助有效的互联网连接通过 Disney+ 服务进行流式播放。每个 Disney+ 帐户允许同时流式播放的数目取决于您的服务级别。同时进行流式播放的可用数目可能由我们自行决定而不时更改。请访问我们的帮助中心，详细了解根据您的服务级别允许的同时流式播放数量。

d. 下载 Disney+ 内容。根据您的服务级别或 Disney+ 内容类型，Disney+ 内容可用于临时下载，以便在特定的兼容设备上离线观看。兼容设备上可用的临时下载次数，以及某些临时下载内容可供您离线观看的时间长短可能受到服务级别的限制，此类限制可能由我们自行决定而不时更改。请访问我们的帮助中心，详细了解根据您的服务级别或 Disney+ 内容类型适用的临时下载限制。

f. i. 促销和试验功能。随着我们对 Disney+ 服务的持续评估，我们可能会不时面向我们的任何或所有用户进行试验，或以其他方式提供或修改 Disney+ 服务的特定功能或其他元素，包括促销、功能、广告、用户界面、计划和定价。您对 Disney+ 服务的任何更新、修改或替换版本的使用应受本 Disney+ 订阅用户协议以及您同意的任何附加条款的约束。您了解，这些条款由我们自行决定是否执行，可能会受到附加条款约束，并且可能不适用于每个订阅用户。

Disney+ 保留权利，并且您同意 Disney+ 可以将您的详细信息披露给其他地点的系统管理员和执法机构，以帮助他们解决安全事件和违法行为。

6. 暂停和终止

a. 您同意，如果 Disney+认为您正在或曾经以违反 Disney+ 订阅用户协议或适用的法律或法规的方式使用 Disney+ 服务，或以任何不同于其预期目的和不符合所有其他准则和适用要求的方式使用了 Disney+ 服务，则 Disney+ 可在不通知您或不对您承担责任的情况下，根据当地法律自行决定限制、暂停或终止您对部分或全部 Disney+ 服务和任何 Disney+ 内容的访问。在不限于上述规定的情况下，Disney+ 可能会由于某种原因并在向您发出合理通知后限制或暂停您对您 Disney+ 服务帐户的访问，这些通知可能以电子方式传达，原因包括但不限于 (a) 执法部门或其他政府当局的要求，(b) 意外的技术问题或其他问题，或 (c) 如果 Disney+ 有理由相信您的 Disney+ 服务帐户是通过欺诈方式创建的，您的 Disney+ 服务帐户被以欺诈方式访问，或任何人使用您的 Disney+ 服务帐户进行欺诈、或用于预期以外用途而非遵守所有适用规定的任何目的。Disney+ 还保留终止任何在一年内不活跃的的 Disney+ 服务帐户的权利。未登录您的 Disney+ 服务帐户将构成本 Disney+ 订阅用户协议中的不活跃状态。

b. 您同意，对于任何限制、暂停或终止您访问 Disney+ 服务帐户或 Disney+ 内容的行为，我们将不对您或任何第三方负责。我们还保留对您违反知识产权、欺诈或类似终止理由采取适当法律行动的权利。我们推迟行使或执行本协议规定的任何权利或补偿的决定并不构成任何一方放弃该权利或补偿。

c. 终止您的 Disney+ 服务帐户后，无论是由 Disney+ 终止还是应您的要求（取消订阅除外，在这种情况下，您的订阅将持续到计费期结束），您将立即失去通过 Disney+ 服务访问 Disney+ 流媒体内容的权利，并在有限时间后失去观看在 Disney+ 服务中下载的 Disney+ 内容的权利。

7. 附加条款

a. 信息和娱乐目的。您理解并同意，您通过 Disney+ 服务获得的 Disney+ 内容仅用于提供信息和娱乐目的。Disney+ 内容不构成法律、财务、专业、医疗或保健建议或诊断，且不得用于此类目的。

b. Disney+ 内容主观性。Disney+ 内容往往会在不同的人中引起不同的反应。您或您允许的其他任何人根据本协议的限制浏览或访问 Disney+ 服务可能会遇到具有冒犯性、不雅、露骨或使人不快的 Disney+ 内容。此外，Disney+ 还提供内容分级、种类、类型、类别和/或描述，作为帮助导航和提供信息的建议。我们不保证您或您根据本协议中的限制允许浏览或访问 Disney+ 服务的任何其他人会赞同此内容。您了解这些风险，并有责任根据本协议自行选择适合您或您允许浏览或访问Disney+ 服务的任何其他人的 Disney+ 内容。

c. 光敏性。Disney+ 内容可能包含一些闪光序列或图案，这些闪光序列或图案可能会影响易患光敏性癫痫或其他光敏性疾病的用户。此外，4K UHD HDR 内容版本可实现更高的亮度和色彩饱和度，这也可能会影响用户。

d. Disney+ 内容质量。我们使用各种技术为您提供最佳的观影体验。例如，某些 Disney+ 内容可以使用高清或 4K 超高清画质。虽然如此，Disney+ 内容的播放质量（包括分辨率）可能会受到 Disney+ 内容格式、您的服务级别、位置、互联网服务的速度、带宽和特定条款以及兼容的设备和/或所使用的设备等因素的影响。您开始观看 Disney+ 内容所需的时间因多种因素而异，包括您的位置、互联网带宽、同时连接到同一网络的设备数量、您选择的 Disney+ 内容以及您正在使用的设备配置。因此，我们无法在这些方面对 Disney+ 内容做出任何保证。

e. 第三方服务、内容和设备。Disney+ 服务可能集成、集成到或结合第三方服务和/或内容提供。我们无法控制这些第三方服务和/或内容。您应阅读适用于此类第三方服务和内容的使用条款、协议和隐私政策。如果您使用第三方服务或设备（例如 Apple iOS、Android 或 Microsoft Windows 驱动的设备）访问 Disney+ 服务，则提供第三方服务或设备的 Apple Inc.、Google, Inc. 或 Microsoft Corporation 或其他此类公司应各自为本协议的第三方受益人。然而，这些第三方受益人不是本 Disney+ 订阅用户协议的一方。您同意，您使用这些设备访问 Disney+ 服务也应遵守适用的第三方受益人服务条款中规定的使用条款。

f. 移动网络。当您通过移动网络访问 Disney+ 服务时，您的网络或漫游提供商的消息、数据和其他费率和费用将会适用。您确认您的网络提供商可能禁止或限制下载、安装或使用 Disney+ 服务，并且 Disney+ 服务可能无法与您的网络提供商或设备配合使用。

g. 提交和主动提供想法的政策。我们的政策不允许我们接受或考虑主动提供的创意、建议或材料。对于您提交给我们的任何内容，无论我们是否征求您的意见，您同意您提交的创意、建议或其他材料不构成保密之义务，您与我们之间不预期也不会以任何方式建立任何保密关系，并且您不期望任何类型的审阅、报酬或偿付。Disney+ 不对提交的任何想法、建议或其他材料主张所有权；然而，对于此类材料，在现行法律允许的最大范围内，您授予我们非排他、可再许可、不可撤销和免版税的全球许可，涉及所有版权、商标、专利、商业秘密、隐私权和宣传权以及其他为任何目的使用、复制、传输、展示、创作衍生作品或以其他方式利用它们的知识产权，不受时间、方式和使用频率的限制，无需另行通知您，无论是否存在归属，也无需要求您或任何其他人或实体的许可，或向您或任何其他人或实体付款。

i. 免责声明；责任限制。您确认并同意基本条件，即 Disney+ 内容和 Disney+ 服务“按原样”提供且不提供任何形式的保证。您拥有与 Disney+ 服务相关的某些法律权利，本 Disney+ 订阅用户协议中的任何内容均不影响这些权利。在法律允许的最大范围内，Disney+、其附属公司、许可方、代理和服务提供商（统称为“Disney+ 方”）均明确否认任何明示、暗示或法定的承诺、保证、担保和条件，包括但不限于有关适销性、特定用途的适用性、准确性、完整性、可用性、安全性、兼容性、令人满意的质量和不侵权，以及任何司法管辖区法律下等效的保证和条件。您并且确认并同意，Disney+ 方不保证 Disney+ 内容和 Disney+ 服务没有错误、病毒或其他有害组件。Disney+ 方不保证或以其他方式声明 Disney+ 内容和 Disney+ 服务将满足您的要求或期望。

在适用法律未禁止的范围内，Disney+ 方在任何情况下均不对任何人身伤害或任何类型的任何间接、特殊、附带或后果性损害负责，包括利润损失和财产损失，即使我们被告知因使用或无法使用 Disney+ 内容或 Disney+ 服务而导致的此类损害的可能性，无论原因如何。对于因超出我们合理控制范围的原因而导致的延迟或未履行，我们也不承担任何责任。在任何情况下，我们对您的所有损害、损失和诉讼因由承担的全部责任均不超过您支付的订阅费。本节中的责任限制适用于任何法律理论（侵权、合同、违反保证、严格责任或其他），即使 Disney+ 方已被告知发生此类损害的可能性。

j. 管辖权。您与 The Walt Disney Company 或其附属公司之间的任何争议应由具有管辖权的新加坡法院解决。

k. 法律的选择。本 Disney+ 订阅用户协议以及因本 Disney+ 订阅用户协议引起或与之相关的任何争议或索赔均受新加坡法律管辖并据其解释，不适用任何法律冲突原则。

l. 可分割性。如果本 Disney+ 订阅用户协议的任何条款不合法、无效或因任何原因不可执行，则该条款应被视为可与其他条款相分割，并且不影响任何其余条款的有效性和可执行性。以有效且具有约束力的条款替换不合法、无效或不可执行的部分，并且根据本 Disney+ 订阅用户协议的内容和目的，其效力应在最大程度上类似于无效或不可执行的部分。

m. 存续。本 Disney+ 订阅用户协议的条款本质上应在本 Disney+ 订阅用户协议终止后继续有效。

n. 适用语言。本协议及其设想的交易（例如通知、请求、声明、文件或通信）的语言均为英语，您可以选择接收不同语言的版本。如果英语版本和翻译版本之间存在任何不一致或冲突，概以英语版本为准，且英语版本具有法律效力，翻译版本应视为自动修订，与英语版本保持一致。

o. 合同（第三方权利）法。非本 Disney+ 订阅用户协议方的一方无权根据《合同（第三方权利）法》（第 53B 章）执行其任何条款，且《合同（第三方权利）法》（第 53B 章）明确不适用。

p. 出口管制。与 Disney+ 服务有关的软件和适用技术数据的传输受出口管制（如有）。您同意遵守有关从美国或您居住的国家/地区出口的软件和技术数据传输的所有适用法律。

q. 完整协议。本协议和其中提及的条款，以及通过引用纳入其中的任何协议或政策，构成您与我们之间关于本协议主题事项的完整协议，并取代所有先前或其他口头或书面安排、理解、协商和讨论。对本协议任何条款的放弃均不应被视为或构成对本协议任何其他条款（无论是否相似）的放弃，除非另有明确规定，否则此类放弃也不构成持续放弃。
