Disney+利用規約

ウォルト・ディズニー・ジャパン株式会社(以下｢当社｣といいます。)の提供するDisney+サービス(以下｢Disney+サービス｣といいます。)へご加入いただきありがとうございます。Disney+サービスには、Disney+のウェブサイト、アプリケーション並びに関連するコンテンツ及びサービスが含まれます。

Disney+サービスをご利用される前に本利用規約(以下｢本利用規約｣といいます。)をよくお読みください。

本利用規約はお客様によるDisney+サービスの利用に適用されます。

お客様は、Disney+サービスへの登録手続において、｢同意して続ける｣をクリックすることにより、本利用規約に同意するものとします。なお、お客様がDisney+サービスを利用した場合には、お客様は本利用規約に同意をしたものとみなします。本利用規約に同意いただけない場合には、Disney+サービスをご利用いただけません。当社は、Disney+サービス内容の変更、法令の改正、社会情勢の変化その他一切の事情に鑑み当社が合理的に必要と認める場合に本利用規約を変更することがあります。本利用規約の変更は、当社が本利用規約第１条（c）に従いお客様に通知又はウェブサイトへの掲載等当社が相当と認める方法により公表してから、30日後に発効します。本利用規約の改訂に同意いただけない場合には、お客様はDisney+サービスの利用を継続することはできず、利用を中止していただく必要があります。なお、当社のカスタマーサービス担当は、口頭によるか又は書面によるかを問わず、本利用規約の内容を変更する権限を有していません。

1. ユーザー資格及び登録

a. 資格及び年齢制限　当社がDisney+サービスを提供している国(以下｢対象地域｣といいます。)にお住まいのお客様のみ、Disney+アカウントに登録することができます。本利用規約は、日本に在住のお客様に適用されます。Disney+アカウントに登録できるお客様は、18歳以上のお客様に限ります。18歳以上の未成年のお客様がDisney+アカウントに登録いただく場合は、親権者等の法定代理人の同意を得た上で登録してください。当該未成年のお客様がDisney+アカウントに登録した場合、法定代理人の同意を得たものとみなされます。Disney+サービスは、個人的かつ非営利的な利用のみを対象として提供されています。法人、団体その他の組織は、Disney+アカウントの登録及びDisney+サービスの利用はできません。13歳未満のお客様は、Disney+アカウントをご利用いただくことはできず、また当社に対して個人情報を提供することもできません。

b. 登録　Disney+アカウントに登録し、一定の情報(有効なメールアドレス等)を提供し、かつ本利用規約に同意したお客様のみ、Disney+サービスをご利用いただけます。お客様は、自らのユーザー名及びパスワードの機密性及びセキュリティの維持について、並びに自らのDisney+アカウントにおける又は当該アカウントを通じて行われた全ての活動について全責任を負うものとします。お客様が第三者にお客様のDisney＋アカウントへのアクセスを許可した場合、本利用規約及びお客様が行った特定の事項に対する同意は、当該第三者によるアクセス、利用及び情報の開示にも適用されるものとします。お客様は、自らのDisney+アカウントへの不正なアクセスがあった場合には、直ちに当社に通知するものとします。お客様のDisney+アカウントの不正な使用に起因する一切の損失に関して、当社は責任を負いません。

c. 通知　当社からお客様への通知は、(ⅰ)お客様が当社に通知した最新の電子メールアドレスへの電子メールの送信、又は(ⅱ)Disney+サービス上での告知によって行われます。お客様は、当社から通知・連絡を行うための連絡先に係る情報を含めて、当社に対し、正確、最新かつ完全な情報を提供し、かかる情報に変更等が生じた場合には直ちに当社に通知するものとします。お客様は、他人のユーザー名、パスワードその他のアカウント情報又は他人の名義や写真を使用すること、及び両親又は保護者について偽りの情報を提供することを含め、他人になりすましたり、他の個人又は組織との関係性について偽りの情報を提供しないことに同意します。お客様は、当社がお客様から提供された情報の正確性を確認・検証する場合があることについて了解し、同意します。

2. サブスクリプション条件

a. サブスクリプションへの加入及び自動更新　お客様によるDisney+サービスへの加入には、継続的な課金プランへの加入が含まれます。後記の解約手続きに従って解約がなされた場合を除き、お客様のサブスクリプションは、予め定める有料期間の満了時に自動的に更新されます。お客様により解約がなされない限り、次の有料期間の開始時に、お客様がDisney+サービスへの加入時に選択した支払方法によって料金が請求されます。当社は、Disney+サービスの料金を変更する権利を留保するものとします。料金を変更する場合、当社は、変更の30日前までに、お客様のアカウントに登録された電子メールアドレス宛てに電子メールを送信することにより、料金の変更を通知するよう努めます。お客様は、料金の変更について同意されない場合、当該電子メール及び後記に記載された方法によりサブスクリプションを解約することができます。料金に関する変更の効力発生後、次のサブスクリプション期間の開始時までにお客様がサブスクリプションを解約しなかった場合には、お客様のサブスクリプションは、お客様による別途の意思表示及び行為等を要することなく、サブスクリプションの更新時に、変更後の料金を新たな契約内容として更新されるものとし、お客様は、当社が当該料金をお客様の指定した支払方法によって請求することに同意したものとします。当社は、適用される税金に関する変更が生じた場合であっても、お客様にこれを通知することはありません。お客様によるDisney+サービスの利用に関して第三者から請求され得るインターネットアクセスに係る料金及び税金は、全てお客様の負担となります。インターネットの利用料に係る情報等については、お客様が契約されているインターネットプロバイダーにお問い合わせください。

b. 無料体験　Disney+サービスへの加入時に、無料体験期間が提供される場合があります。但し、無料体験期間は必ず提供されるものではなく、また、無料体験期間が設けられている場合においても、無料体験期間は、過去にDisney+サービスの無料体験を利用したことがないお客様に限り、一定の条件に従ってご利用いただけます。後記の解約手続きに従って解約がなされない限り、無料体験期間の終了後直ちに、お客様の選択した支払方法によって料金が請求されます。お客様は、無料体験期間中、いつでもサブスクリプションを解約することができます。当社は、お客様が登録を行った際に無料体験に係る条件を通知しますが、その他、お客様に対して無料体験期間終了に関する事前通知、無料体験期間の終了通知、及び有料のサブスクリプションの開始通知を行うことはありません。

c. 解約及び返金ポリシー　お客様は、現行の有料期間中及び無料体験期間中、いつでもサブスクリプションを解約することができます。解約は、当該有料期間の終了時又は無料体験期間の終了時に効力を発するものとします。Disney+サービスのサブスクリプションを解約するには、www.disneyplus.com/account/cancel-subscription にアクセスいただき、解約手続き（退会手続き）を行ってください。当社以外の第三者(例えば、iTunes、Google Play又はAmazon Store等のアプリストア)を通じてDisney+サービスに加入した場合の解約方法については、当社のヘルプセンターにてご確認ください。解約は、お客様の現行の有料期間の終了時(又は無料体験期間の終了時)において効力を発するものとし、当該時点まではお客様は引き続きDisney+サービスにアクセスすることができます。有料期間の途中で解約があった場合においても、当社は、残りの有料期間について料金の返金又は減額を行うことはありません。

d. 支払情報　当社は、クレジットカード番号及び有効期限等のお客様の支払情報の詳細を記録・保管します。お客様が加入手続において同意した場合には、当社は、お客様の支払情報をThe Walt Disney Company内(Marvel、Pixar等)で共有することがあります。お客様は、アカウントの設定を変更することにより、常に最新の支払情報を登録しておく責任を負うものとします。お客様の支払情報の変更時又は有効期限の満了時には、当社は、クレジットカード番号、有効期限及びCVV(セキュリティコード又はこれに相当するもの)を含めて、お客様の最新の支払情報をお客様の決済サービスプロバイダーから取得し又は受領することがあります。これにより、当社は、お客様のDisney+サービスへのアクセスを継続して提供することができます。お客様は、当社が最新の情報を用いて引き続きお客様のクレジットカードに請求を行うことに同意するものとします。有効期限切れ、残高不足その他の理由により、お支払いが完了されなかった場合、当社は、お客様のサブスクリプションを停止又は終了させることができます。また、お客様は、お客様がDisney+サービスのサブスクリプションを再開することとした場合において、当社が当社に記録されているお客様の支払方法によって料金を請求し得ることに同意します。

e. 第三者を通じたサブスクリプションへの加入　お客様が第三者(アプリストア等)を通じてDisney+サービスに加入した場合、当該サブスクリプションには当該第三者の定める契約条件も適用され、また、本利用規約と当該第三者の定める契約条件との間に矛盾がある場合には、本利用規約におけるサブスクリプションへの加入、請求、解約/返金及び支払いに関する規定は当該サブスクリプションには適用されません。第三者を通じて加入されたサブスクリプションについては、当該サブスクリプションに係る請求は、当該第三者から直接お客様に対してなされます。当該お客様によるDisney+サービスの利用に係る料金は、当該第三者が、お客様が当該第三者に対して提供した支払情報を用いてお客様に請求します。第三者を通じて加入されたDisney+サービスのサブスクリプションの解約については、当該第三者が定める解約手続きに従ってください。第三者を通じて加入されたDisney+サービスのサブスクリプションの解約方法については、ヘルプセンターにおいてもご確認いただけます。

f. バンドルサブスクリプションオプション　当社は、第三者の商品及びサービス(ワイヤレスプラン等)のサブスクリプションを含む他のサブスクリプションサービスと組み合わせてDisney+サービスのサブスクリプションを提供することがあります。かかるバンドルサブスクリプションの条件は、お客様による登録時に通知されます。第三者のサブスクリプション、商品及びサービスには、当該第三者が定める利用規約が適用されます。

3. 著作物に係るライセンスの付与及び制限

a. ライセンス　対象地域内において、かつ本利用規約に定める条件を遵守することを条件として、当社は、お客様に対して、次の行為を行うための、個人的利用に限定した、移転不能、譲渡不能、取消可能かつサブライセンス不可の非独占的な権利を付与します。

ⅰ. Disney+サービスをインストールし、非営利目的で個人的に利用すること。

ⅱ. お客様がDisney+サービスから入手可能な、著作権で保護された素材(映画、テレビ番組、その他娯楽又は情報番組、予告編、特典素材、画像及びアートワークを含みますが、これらに限られません。以下｢Disney+コンテンツ｣といいます。)をストリーミング視聴し、又は一時的にダウンロードすること。

上記はDisney+コンテンツ及びDisney+サービスに係るライセンス付与に関する合意であり、権利の売却又は譲渡に関する合意ではありません。また、お客様がDisney+コンテンツをストリーミング視聴し、又は一時的にダウンロードするためのライセンスを得ても、これによりお客様に対してDisney+コンテンツに係る所有権が付与されるものではありません。かかるDisney+コンテンツ(Disney+コンテンツに係る著作権、商標、サービスマーク、商号、トレードドレスその他の知的財産権を含みます。)は、ウォルト・ディズニー・カンパニー、その関連会社及び/又は他のライセンサーが所有し、日本の著作権法並びに他の知的財産に係る法律及び条約によって保護されます。

b. お客様によるDisney+コンテンツのご利用に関する制限　お客様に付与されるライセンスの条件として、お客様が次のいずれかに該当する行為を行うことは禁止されるものとし、お客様はかかる禁止に同意するものとします。

ⅰ. Disney+コンテンツへのアクセスを管理するためにDisney+サービスに関して使用されているコンテンツ保護システム又はデジタル著作権管理技術を回避し又は無効化すること。

ⅱ. Disney+コンテンツを複製すること(但し、本利用規約において明示的に許容されている場合を除きます。)。

ⅲ. Disney+サービス上で利用可能なDisney+コンテンツを放送、送信、又は上映すること。

ⅳ. Disney+コンテンツの二次的著作物を作成すること。

ⅴ. 第三者に対して、上記禁止事項の違反を容認すること。

c. お客様によるDisney+サービスのご利用に関する制限　お客様に付与されるライセンスの条件として、お客様が次のいずれかに該当する行為を行うことは禁止とし、お客様はかかる禁止に同意するものとします。

ⅰ. Disney+サービス、動画プレーヤー、及び/若しくは動画プレーヤーに組み込まれた、基盤技術及びデジタル著作権管理メカニズム、デバイス、その他のコンテンツ保護若しくはアクセス管理措置を移行させ、逆コンパイルし、リバースエンジニアリングし、逆アセンブルし、又はその他人間が判読可能な形式に変換すること。

ⅱ. Disney+サービスに変更を加えること(Disney+コンテンツ又はDisney+サービスからID、著作権又はその他所有権に係る表示を削除することによる変更を含みますが、これらに限られません。)。

ⅲ. 当社の商品、サービス又はブランドとの関連性を示唆するようなかたちでDisney+サービスにアクセスし、又はDisney+サービスを利用すること。

ⅳ. 営利目的か否かにかかわらず、Disney+サービスを商用若しくはビジネス関連の目的で利用すること、商業施設若しくは一般に公開されている場所(例えば、ロビー、バー、レストラン、食堂、スタジアム、カジノ、クラブ、カフェ、映画館等)においてDisney+サービスを利用すること、又はDisney+コンテンツ若しくはDisney+サービスを利用して事業を行うこと。

ⅴ. 当社が所有するDisney+サービスの構成要素の全部若しくは一部、又はそのアップデートの全部若しくは一部について二次的著作物を作成すること(ただし、適用のある法令によって、かかる作成を制限することが禁止されている場合を除きます。)。

ⅵ. Disney+サービスの機能又は保護を迂回、変更、無効化、改ざん又は回避すること。

ⅶ. 当社の書面による明示的な許可なく、ロボット、スパイダー、スクレーパー又はその他自動化された手段若しくは手動の操作により、Disney+サービスのいかなる構成要素にアクセスし、若しくはDisney+サービスをモニター若しくはコピーし、又は第三者(個人・法人を問いません。)にかかるアクセス、モニター若しくはコピーを許容すること。

ⅷ. Disney+サービスについて、損傷させ、無効化し、過度の負担をかけ、又は損害を与えること。

ⅸ. 違法な方法、違法な目的又は本利用規約に反する方法でDisney+サービスを利用すること。

ⅹ. お客様のログイン認証情報を第三者に開示・共有すること。

ⅺ. その他、第三者に対して上記禁止事項の違反を容認すること。

d. 違反　第3条(b)及び(c)に定める禁止事項のいずれかに該当する行為を行うこと、及びかかる行為を試みることは、当社及び著作権者の権利の侵害に該当します。

4. 利用条件

a. Disney+対応デバイス　Disney+サービスの利用には、対応するデバイスが必要となり、また、ソフトウェアの定期的なアップデートを要する場合があります。お客様によるDisney+サービスの利用は、上記デバイス及びソフトウェアの状態によって影響を受けることがあります。お客様は、インターネットに接続されたコンピューター又は一定の携帯端末その他のデバイス(以下｢対応デバイス｣といいます。)において利用可能なDisney+アプリを通じて、Disney+コンテンツにアクセスすることができます。対応するデバイス、オペレーティングシステム、ウェブブラウザー及び最適なストリーミング視聴環境の詳細については、当社のヘルプセンターにてご確認ください。対応デバイスにDisney+アプリケーションをダウンロードし、当該アプリケーションからDisney+アカウントにログインすることにより、お客様のDisney+アカウントに対応デバイスを追加することができます。

b. インターネット接続　Disney+サービスの一部の機能へのアクセス・利用には高速インターネット接続が必要となります。

c. Disney+コンテンツのストリーミング視聴　アクティブ状態のインターネット接続を用いてDisney+サービスを通じてDisney+コンテンツをストリーミング視聴することができます。1つのDisney+アカウントにおいて、最大4台のデバイスまで同時にストリーミング視聴することができます。上記同時視聴可能数は、当社の裁量により変更される場合があります。

d. Disney+コンテンツのダウンロード　Disney+コンテンツは、特定の対応デバイスにおけるオフライン視聴のために一時的なダウンロードが可能です。Disney+サービスに関して、上記ダウンロードが可能な対応デバイス数の上限は10台です。上限台数に達した場合、お客様はその他のデバイスにおいてダウンロードを行うことはできません。ダウンロードしたDisney+コンテンツについてオフライン再生が可能な状態にしておくためには、お客様は少なくとも30日(以下｢オフライン再生可能期間｣といいます。)に1回、お客様の対応デバイスをインターネットに接続してDisney+サービスにアクセスする必要があります。オフライン再生可能期間は、当社の裁量により変更される場合があります。

e. プロフィール　Disney+では、1つのアカウントにおいて複数のプロフィールを作成することにより、Disney+サービスの利用についてプロフィールごとにパーソナライズすることができます。お客様は、特定のプロフィールをお子様用プロフィールに指定することができます。お子様用プロフィールにおいては、一部のDisney+コンテンツの視聴が制限されます。お子様用プロフィールの詳細は、ヘルプセンターにてご確認ください。

f. Disney+コンテンツの提供範囲　Disney+サービスのサブスクリプションにおいて提供される一定のDisney+コンテンツは、対象地域内の一部の国又は地域ではご利用いただけない場合があります。地域による制限は、お客様がDisney+サービスにアクセスする場所に応じて適用されます。当社は、お客様の所在地を確認するために様々な技術や方法を利用することがあります。

g. サービスの停止・終了等　以下の場合において、Disney+サービス及び/又はDisney+コンテンツの一部若しくは全部がストリーミング視聴又はダウンロードできなくなることがあります。

(ⅰ) メンテナンス時若しくはアップデート時
(ⅱ) 停電時若しくはサーバーの停止時
(ⅲ) 戦争、暴動、労働争議、社会不安による場合
(ⅳ) 当社若しくは第三者が制御し得ない事由による場合

当社は、合理的は範囲において、可能な限り事前にお客様に通知するよう努めますが、上記のような場合、当社は、お客様に対して一切の責任を負わないものとします。当社は、やむを得ず特定の内容若しくは機能を削除し、及び/又は特定のデバイス若しくはプラットフォームからのDisney+へのアクセスを制限する場合があります。当社は、そのような変更、利用ルール及び制限に関してお客様に通知するよう最善を尽くしますが、お客様は、当社が当社の裁量により、お客様に通知せずに前述の措置を講じ得ることについて了承し、同意します。お客様がDisney+サービスのサブスクリプション加入者であって、当社がお客様のDisney+サービスのサブスクリプションを停止又は中止した場合、当社の裁量により、お客様に対して、特典の付与、返金、割引等を提供することがあります。但し、かかる提供は当社の裁量によるものであり、原則として当社は、Disney+サービスの変更、停止又は中止に関して一切の責任を負わないものとし、お客様もかかる免責に同意するものとします。なお、お客様による本利用規約の違反を理由として当社がお客様のアカウントを停止し、又はDisney+サービスへのアクセスを停止若しくは中止した場合には、お客様は上記特典の付与、返金、割引等を受けることはできません。

h. 販売促進用及び試験的機能　当社がDisney+サービスの継続的な評価を実施するに当たり、ユーザーの全部又は一部に対して、Disney+サービスの特定の機能その他の要素について、試験的運用を行い、又は提供する場合があります。これには、販売促進的な内容、ユーザーインターフェース、一定のプラン及び料金が含まれます。お客様によるDisney+のアップデート版、変更版又は後継版の利用には、本利用規約及び当該アップデート版、変更版又は後継版のインストール時にお客様が同意した追加の条件が適用されます。

5. 特定の情報の利用及び共有

当社がお客様に関して取得、利用及び共有する情報の詳細については、当社のプライバシーポリシーをご参照ください。当社のプライバシーポリシーは本利用規約に適用されます。

当社は、情報セキュリティに係る事故及び法令違反の解決を支援するために、お客様に係る情報を、他のウェブサイトのシステム管理者及び法執行機関に提供・開示する権利を留保するものとし、お客様は当社によるかかる権利の留保に同意するものとします。

6. 利用の停止・終了

お客様は、お客様が本利用規約若しくは法令に違反して、若しくはそれらの目的並びに適用されるガイドライン及び要件の全部若しくは一部に反して、Disney+サービスを利用している又は利用していたと当社が判断した場合に、当社は、当社の裁量により、お客様に通知することなく、またお客様に対して一切の責任を負うことなく、Disney+サービス及びDisney+コンテンツの全部又は一部に係るお客様のアクセスを制限し、停止し又は終了させ得ることに同意します。上記に加え、当社は、以下に例を挙げる正当な理由に基づく場合に、お客様に合理的な通知をした上で(かかる通知は電子的な通信手段によって行われる場合があります。)、お客様のDisney+アカウントへのアクセスを制限し、又は停止する場合があります。
(a) 法執行機関その他の政府当局から要請を受けた場合
(b) 予期せぬ技術上の課題若しくは問題が発生した場合
(c) お客様のDisney+アカウントが不正に作成された、お客様のDisney+アカウントに不正にアクセスされた、何者かが詐欺を働くためにお客様のDisney+アカウントを利用している、又は何者かが当社により本来意図された目的以外の目的で、Disney+アカウントに適用される要件に従わずにお客様のDisney+アカウントを利用していると当社が合理的に判断する場合

また、当社は、1年以上にわたり非アクティブな状態のDisney+アカウントについて、お客様に通知した後に、当該アカウントを終了させる権利を留保します。なお、お客様においてDisney+アカウントにログインできない状態も、上記の非アクティブな状態に該当します。

お客様は、お客様のDisney+サービス、Disney+コンテンツ及びDisney+アカウントへのアクセスの制限、停止又は終了に関して、当社がお客様及び第三者に対し一切の責任を負わないことに同意します。

当社によるサービスの終了であるかお客様の希望による解約であるかにかかわらず(但し、お客様によるサブスクリプションの解約は除きます。サブスクリプションの解約の場合においては、お客様のサブスクリプションは現行の有料期間の終了時まで継続します。)、お客様におけるDisney+サービスの終了後、お客様は、Disney+サービスを通じてストリーミング対象コンテンツにアクセスする権利を直ちに喪失します。また、一定の限られた期間の経過後に、Disney+サービス内でダウンロードしたDisney+コンテンツを視聴する権利も喪失します。

7. その他一般条項

a. お客様は、Disney+サービスを通じてお客様が入手するDisney+コンテンツは、専ら情報提供及び娯楽の目的で当社からお客様に提供されるものであることを理解し、これに同意します。Disney+コンテンツは、法的、財務的、専門的、医療的若しくは健康に関わる助言又は診断を提供するものではなく、またかかる助言又は診断を目的として利用できるものではありません。

b. コンテンツの主観性　Disney+コンテンツは、視聴する様々な人々の間に異なる反応を生じさせることがあります。お客様は、Disney+コンテンツに対して、不快、下品、露骨又は好ましくないとの印象を受ける可能性があります。また、コンテンツに係る評価、種類、ジャンル、カテゴリー及び/又は説明等の情報は、お客様のナビゲーション及び情報提供の目的で提供するものです。当社は、お客様がそれらの内容に関して賛同することを保証するものではありません。お客様は、これらのリスクを理解し、お客様のご家族にとっていずれのDisney+コンテンツが適切かについてはご自身で選択する責任を有していることを確認し、これに同意します。

c. 光過敏性　Disney+コンテンツは、光過敏性発作又は他の光過敏性の影響を受けやすいユーザーに影響を及ぼす可能性のある光の点滅の連続及びパターンを含んでいる可能性があります。また、4K UHD HDR版のコンテンツは、より高い輝度及び彩度を可能にするものであり、これもユーザーに影響を及ぼす可能性があります。

d. コンテンツの品質　当社は、様々な技術を使用してお客様に最適な視聴体験を提供します。例えば、一定のDisney+コンテンツは、HD画質及び4K Ultra HD画質が利用可能です。しかしながら、Disney+コンテンツの再生品質(解像度を含みます。)は、Disney+コンテンツのフォーマット、お客様の所在地、お客様が利用するインターネットの速度・帯域幅・特有の条件及び使用デバイス等の要因によって影響を受ける可能性があります。Disney+コンテンツの視聴開始までにかかる時間は、お客様の所在地、お客様が利用するインターネットの帯域幅、同一のネットワークに同時に接続されているデバイスの数、お客様が選択したDisney+コンテンツ及び使用デバイスの内容を含む複数の要因によって異なります。そのため、当社は、上記の点に関しては、何ら保証することができません。

e. 第三者のサービス・コンテンツ　Disney+サービスは、第三者のサービス・コンテンツを組み込んで、若しくはそれらに組み込まれて、又はそれらと関連して提供される可能性があります。当社は、それらの第三者のサービス及びコンテンツを管理することはできません。お客様は、当該第三者のサービス・コンテンツに適用される利用規約、契約及びプライバシーポリシーをよくご確認ください。お客様が、第三者のサービス又はデバイス(例えば、Apple iOS、Android又はMicrosoft Windowsを搭載するデバイス)を使用してDisney+サービスにアクセスする場合、Apple Inc.、Google, Inc.若しくはMicrosoft Corporation、又は当該サービス若しくはデバイスを提供する他の第三者のぞれぞれが本利用規約の第三者受益者となります。但し、これらの第三者受益者は、本利用規約の当事者ではありません。お客様は、第三者のデバイスを使用してDisney+サービスにアクセスする場合には、該当する第三者受益者の定めるサービス規約に定められた利用条件も遵守することに同意します。

f. モバイルネットワーク　モバイルネットワークを通じてDisney+サービスにアクセスする場合、お客様のネットワーク又はローミング・プロバイダーのメッセージング、データ及びその他に係る料金及び手数料が掛かります。Disney+サービスのダウンロード、インストール又は利用は、お客様のネットワーク・プロバイダーにより禁止又は制限されることがあり、またDisney+サービスはお客様が使用するネットワーク・プロバイダー又はデバイス上では動作しない可能性があります。

g. お客様からのアイデアの提供等に関するポリシー　当社のポリシーでは、お客様から提供された創造的アイデア、提案若しくは素材について、当社が受領し又は検討することは禁じられています。当社が要求したものであるかどうかに関わらず、お客様は、お客様が当社に対し提供したものに関して、お客様が提供した創造的アイデア、提案及びその他素材は秘密裏に又は委託に基づいて作成されたものではないこと、お客様と当社との間における秘密保持義務又は委任・信任関係を意図し又は創出するものではないこと、及びいかなる種類の検討、報酬又は対価も与えられるものではないことに同意するものとします。当社は、提出されたアイデア、提案又はその他素材に関して、権利を主張することはありません。但し、お客様は、それらの素材等に関して、当社に対し、全ての著作権、商標、特許権、営業秘密、プライバシー権、パブリシティ権及びその他の知的財産権に基づき、使用の回数、方法及び頻度に制限なく、お客様に別途通知を行う義務を負うことなく、クレジット表記の有無を問わず、お客様若しくはその他の第三者・法人等から許可を得る必要なく、かつお客様若しくはその他の第三者・法人等に対して一切の支払義務を負うことなく、目的を問わずに、それらの素材等を使用、複製、送信、展示し、若しくはそれらの素材等の二次著作物を作成し、又はその他の形でそれらの素材等を利用するための、非独占的、サブライセンス可能かつ取消不能な、全世界を対象とするライセンスを無償で付与するものとします。

i. 免責及び責任の限定　お客様は、Disney+コンテンツ及びDisney+サービスが、現状有姿で、かついかなる保証もなく提供されるということを了承し、これに同意します。法律により許容される最大限の範囲で、当社、当社の関連会社、ライセンサー、代理店及びサービス・プロバイダー(以下総称して｢Disney+当事者｣といいます。)は、それぞれ、明示、黙示又は法定の一切の保証及び条件(商品性、特定の目的への適合性、正確性、完全性、利用可能性、セキュリティ、互換性、品質及び権利等の不侵害についての保証及び条件、並びに法令のもとで認められる、上記と類似の保証及び条件を含みますが、これらに限られません。)から免責されるものとします。また、お客様はDisney+コンテンツ及びDisney+サービスにエラー、ウイルス又は他の有害な要素がないことについてDisney+当事者が保証しないことを了承し、これに同意します。Disney+当事者は、Disney+コンテンツ及びDisney+サービスがお客様の要求・条件に合致することについて何ら保証しません。Disney+コンテンツ及びDisney+サービスの利用により必要となる全ての必要なサービス、修理又は補正に係る費用は、Disney+当事者ではなく、全てお客様の負担となります。適用される法令により、免責が認められていない場合には、上記は適用されない場合があります。

適用される法令により禁止されていない限りにおいて、いかなる場合も(たとえそれらの損害が生じ得る可能性についてDisney+当事者が指摘等を受けていたとしても)、Disney+当事者は、原因を問わず、Disney+コンテンツ又はDisney+サービスを利用することにより又はそれらを利用できないことにより生じる、人身損害並びに全ての間接損害、特別損害、付随的損害及び派生的損害(逸失利益及び財産的損害を含みます。)について責任を負わないものとします。また、Disney+当事者は、Disney+当事者の合理的な支配の及ばない事由によって生じた履行の遅延又は不履行について責任を負わないものとします。いかなる場合も、お客様の全ての損害、損失及び請求原因に対するDisney+当事者の責任限度額は1,000米ドル(US $1,000)を超えないものとします。本条に定める責任限定は、たとえ各損害の可能性についてDisney+当事者が指摘等を受けていたとしても、全ての法理論(不法行為、契約、保証違反、厳格責任等)のもとで適用されます。当該法域において適用される法令により、免責・責任の限定が認められていない場合には、上記は適用されない場合があります。
本条に定める免責規定及び責任の制限は、Disney+当事者の故意又は重大な過失に基づく場合には適用されないものとします。

j. 裁判管轄　お客様は、本利用規約から生じる又は本利用規約に関連する訴訟については東京地方裁判所を第一審の専属的合意管轄裁判所とすることに同意します。

k. 準拠法　本利用規約は、日本国の法律に準拠し、日本国の法律に従って解釈されます。

l. 優先言語　本利用規約は、英語版でも提供されることがあります。お客様は、本利用規約の日本語版と英語版の間に矛盾が生じた場合、日本語版が優先されることを了解し、同意するものとします。また、お客様は、将来の改正や連絡事項がDisney+サービスからお客様の選択した言語とは異なる言語で通知された場合であっても、当該将来の改正や連絡事項は有効であり、また、改正の場合は法的に有効であることを認め、これに同意するものとします。

ｍ. 分離可能性　本利用規約の一部の条項が違法、無効又は何らかの理由により法的強制力がないものと判断された場合においては、当該条項は本利用規約から分離されたものとみなし、その他の条項の効力及び法的強制力には何ら影響を与えないものとします。

n. 存続条項　本利用規約の条項のうち、その性質上、本利用規約の終了後も引き続き効力を有すべきと考えられる条項は、本利用規約の終了後も引き続き効力を有するものとします。

o. 完全合意　本利用規約及び本利用規約において参照される規定は、本利用規約の内容に関して、お客様と当社との間の完全な合意を構成し、一切の事前の又はその他の取決め、合意、交渉及び協議(口頭であるか書面であるかを問いません。)に優先して適用されるものとします。本利用規約のいかなる条項の放棄も、(類似しているかどうかを問わず)本利用規約の他の条項の放棄とはみなされず、かつ他の条項の放棄には該当せず、またかかる放棄は、別段の明示的な定めのない限り、一時的なものであり、継続的なものではないものとします。

Disney+ Subscriber Agreement

The Walt Disney Company (Japan) Ltd. ("Disney", "we", "us" or "our") welcome you to the Disney+ Service. The "Disney+ Service" includes the Disney+ website, application and associated content and services.

PLEASE READ THIS SUBSCRIBER AGREEMENT ("SUBSCRIBER AGREEMENT", OR "AGREEMENT") CAREFULLY BEFORE USING THE DISNEY+ SERVICE.

THIS AGREEMENT WILL GOVERN YOUR USE OF THE DISNEY+ SERVICE.

You agree to the Subscriber Agreement by clicking "Agree & Continue" during the Disney+ registration process and ratify your agreement when you use any aspect of the Disney+ Service. If you do not agree to the Subscriber Agreement, you may not use the Disney+ Service. We may amend this Agreement if we deem it reasonably necessary in light of changes in the content of the Disney+ Service, amendments to laws and regulations, changes in social conditions, or any other circumstances. Any such amendment will be effective thirty (30) days following either our dispatch of a notice to you or our posting of the amendment on the Disney+ Service in accordance with Article 1(c) of this Subscriber Agreement or in any other manner deemed appropriate by Disney. If you do not agree to any change to the Subscriber Agreement, you must discontinue using the Disney+ Service. Our customer service representatives are not authorized to modify any provision of the Subscriber Agreement, either verbally or in writing.

1. USER ELIGIBILITY AND REGISTRATION

a. Eligibility and Age Limitations. Only residents of the countries where we offer the Disney+ Service (the "Territory") are eligible to register for a Disney+ account. This Subscriber Agreement governs for residents of Japan. You must be at least 18 years of age. If you are a minor aged 18 or 19, you must obtain the consent of a legal representative, such as a person with parental authority, in order to register for a Disney+ account. Any such minor who registers for a Disney+ account shall be deemed to have obtained the consent of a legal representative. The Disney+ Service is provided to individuals for their personal, noncommercial use only. Companies, associations and other groups may not register for a Disney+ account or use the Disney+ Service. Individuals under the age of 13 are not eligible for a Disney+ account and are not permitted to provide personal information to Disney.
b. Registration. Only individuals that have registered for a Disney+ account, provide certain information (e.g., a valid email address), and agree to the Subscriber Agreement are eligible to use the Disney+ Service. You are solely responsible for maintaining the confidentiality and security of your username and password and for all activities that occur on or through your Disney+ account. However, if you allow others to access your Disney+ account, this Agreement, as well any specific consents you may have provided, also applies to their access, use, and disclosure of information. You agree to immediately notify Disney of any unauthorized access to your Disney+ account. Disney will not be responsible for any losses arising from the unauthorized use of your Disney+ account.
c. Notices. Any notices Disney delivers to you may be made as follows: (i) by email to the last email address provided by you or (ii) by posting a notice on the Disney+ Service. You agree to provide and maintain accurate, current and complete information, including your contact information for notices and other communications from us. You agree not to impersonate or misrepresent your affiliation with any person or entity, including using another person's username, password or other account information, or another person's name or likeness, or provide false details for a parent or guardian. You agree that we may take steps to verify the accuracy of information you provide.

2. SUBSCRIPTION TERMS

a. Subscription and Auto-Renewal. Your subscription to the Disney+ Service includes enrollment into an ongoing/recurring payment plan. Your subscription(s) will automatically renew at the end of the disclosed billing period, unless cancelled in accordance with the instructions for cancellation below. Payment will be charged to your chosen payment method at confirmation of purchase and at the start of every new billing period, unless cancelled. We reserve the right to change our pricing. In the event of a price change, we will attempt to notify you thirty (30) days in advance of the change by sending an email to the email address you have registered for your account. If you do not wish to accept a price change, you may cancel your subscription in accordance with the instructions included in that email and below. If you do not cancel your subscription after the price change takes effect and prior to the start of your new subscription period, your subscription will be renewed at the price in effect at the time of the renewal, without any additional action by you, and you authorize us to charge your payment method for these amounts. We will not be able to notify you of any changes in applicable taxes. You are responsible for all third-party Internet access charges and taxes in connection with your use of the Disney+ Service. Please check with your Internet provider for information on possible Internet data usage charges.
b. Free Trials. Your Disney+ Service subscription may begin with a free trial. Availability of a free trial is not guaranteed and, if one is available, is only available on the specified terms of the free trial to those who have not previously used one for the Disney+ Service. Your first payment will be charged to your chosen payment method immediately following the free trial, unless cancelled in accordance with the instructions for cancellation below. You can cancel your subscription at any time before the end of your free trial. We provide notice of the terms of the free trial at the time you register and you will not receive a separate notice that your free trial is about to end or has ended, or that your paid subscription has begun.
c. Cancellation and Refund Policy. You can cancel your subscription at any time before the end of the current billing period or free trial. Cancellation will take effect at the end of the current billing period or free trial. To cancel your Disney+ Service subscription, navigate to www.disneyplus.com/account/cancel-subscription and click "Complete Cancellation." If you subscribed via a third party (e.g. an app store such as iTunes, Google Play, or Amazon Store), please visit our Help Center for instructions on how to cancel. Cancellation will only take effect at the end of your current billing period (or end of your free trial), and you will still be able to access Disney+ Service until then. We do not refund or credit for partially used billing periods.
d. Payment Details. We will keep your detailed payment information, such as credit card number and expiry date, on file. We may share your payment information within The Walt Disney Company (e.g., Marvel, Pixar, etc.), if you consent to such sharing during the purchase process. You are responsible for keeping your payment details up-to-date by changing the details in your account settings. Where your details change or are due to expire, we may obtain or receive from your payment provider updated payment details including your card number, expiry date and CVV (or equivalent). This enables us to continue to provide you access to the Disney+ Service. You authorize us to continue to charge your card using the updated information. If a payment is not successfully authorized due to expiration, insufficient funds, or otherwise, we may suspend or terminate your subscription. You also agree that we may charge your payment method on file if you decide to restart your Disney+ Service subscription.
e. Subscriptions Obtained Through Third Parties. If you obtain a Disney+ Service subscription via a third party (e.g., an app store), that subscription is also subject to the third party's terms, and the provisions in this Subscriber Agreement concerning subscription purchase, billing, cancellation/refunds, and payment do not apply to that subscription to the extent this Subscriber Agreement conflicts with the applicable third party's terms. For subscriptions obtained via a third party, your billing relationship will be directly with the applicable third party. Any fees charged for your Disney+ Service will be billed by the applicable third party using the payment information you have provided to such third party. To cancel a Disney+ Service subscription obtained via a third party, please follow the cancellation instructions set out by the applicable third party. You can visit our Help Center for instructions on how to cancel a Disney+ Service subscription obtained via a third party.
f. Bundled Subscription Options. We may offer a Disney+ Service subscription bundled with other subscription services, including subscriptions to third-party products and services, e.g., a wireless plan. Notice of the terms of the bundled subscription options will be provided to you at the time you register. Third-party subscriptions, products, and services are governed by terms of use issued by those third parties.

3. COPYRIGHT LICENSE GRANT AND RESTRICTIONS

a. License. Within the Territory and subject to the terms and conditions in this Subscriber Agreement, Disney grants you a limited, personal use, non-transferable, non-assignable, revocable, non-exclusive and non-sublicensable right to do the following:
i. Install and make non-commercial, personal use of the Disney+ Service; and
ii. stream or temporarily download copyrighted materials, including but not limited to movies, television shows, other entertainment or informational programming, trailers, bonus materials, images, and artwork (the "Disney+ Content") that are available to you from the Disney+ Service.

This is a license agreement and not an agreement for sale or assignment of any rights in the Disney+ Content or the Disney+ Service. The purchase of a license to stream or temporarily download any Disney+ Content does not create an ownership interest in the Disney+ Content. Such Disney+ Content, including the copyrights, trademarks, service marks, trade names, trade dress and other intellectual property rights in the Disney+ Content, are owned by The Walt Disney Company, its affiliates and/or other licensors, and is protected by the copyright laws of Japan, as well as other intellectual property laws and treaties.

b. Restrictions on Your Use of the Disney+ Content. You agree that as a condition of your license, you may not and agree not to:
i. circumvent or disable any content protection system or digital rights management technology used in connection with the Disney+ Service to control access to the Disney+ Content;
ii. copy the Disney+ Content (except as expressly permitted by this Subscriber Agreement);
iii. rebroadcast, transmit or perform the Disney+ Content available via the Disney+ Service;
iv. create derivative works of the Disney+ Content; or
v. allow third parties to violate the above restrictions.
c. Restrictions on Your Use of the Disney+ Service. You agree that as a condition of your license, you may not and agree not to:
i. move, decompile, reverse-engineer, disassemble, or otherwise reduce to human-readable form the Disney+ Service and/or the video player(s), underlying technology, any digital rights management mechanism, device, or other content protection or access control measure incorporated into the video player(s);
ii. modify the Disney+ Service, including, but not limited to, by removing identification, copyright or other proprietary notices from the Disney+ Content or the Disney+ Service;
iii. access or use the Disney+ Service in a manner that suggests an association with our products, services or brands;
iv. use the Disney+ Service for any commercial or business related use or in any commercial establishment or area open to the public (e.g., lobby, bar, restaurant, diner, stadium, casino, club, cafe, theater, etc.) or build a business utilizing the Disney+ Content or Disney+ Service, whether or not for profit;
v. create derivative works of any Disney owned components of the Disney+ Service, any updates, or any part thereof, except as and only to the extent that any foregoing restriction is prohibited by applicable law;
vi. bypass, modify, defeat, tamper with or circumvent any of the functions or protections of the Disney+ Service;
vii. access, monitor or copy, or permit another person or entity to access, monitor or copy, any element of the Disney+ Service using a robot, spider, scraper or other automated means or manual process without our express written permission;
viii. damage, disable, overburden or impair the Disney+ Service;
ix. use the Disney+ Service in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this Subscriber Agreement;
x. share your login credentials with third parties; or
xi. otherwise allow third parties to violate the above restrictions.
d. Violations. Any attempt to perform any of the restrictions listed in Sections 3(b) and 3(c) above is a violation of the rights of Disney and the copyright holder.

4. USAGE TERMS

a. Disney+ Compatible Devices. Use of the Disney+ Service requires compatible devices, and certain software may require periodic updates, and your use of the Disney+ Service may be affected by the performance of these elements. You can access Disney+ Content with almost any Internet-connected computer or through the Disney+ application available for certain mobile or other devices (Internet connection required) (each, a "Compatible Device"). For specifics concerning supported devices, operating systems, web browsers and optimal streaming support please visit our Help Center. You can add a Compatible Device to your Disney+ account by downloading the Disney+ application to the Compatible Device and by signing into your Disney+ account through the application.

b. Internet Connection. You must have a high speed Internet connection in order to access and use certain aspects of the Disney+ Service.

c. Streaming Disney+ Content. Disney+ Content can be streamed through the Disney+ Service over an active Internet connection. Up to four (4) concurrent streams are allowed for each Disney+ account at any time. The number of concurrent streams available for use may change from time to time at our discretion.

d. Downloading Disney+ Content. Disney+ Content may be available for temporary download for offline viewing on certain Compatible Devices. Downloads are limited to a maximum of ten (10) Compatible Devices for the Disney+ Service. You will not be permitted to download to an additional device once the maximum of ten (10) Compatible Devices has been reached for that service. You must connect your Compatible Device to the Internet and access the Disney+ Service at least once every thirty (30) days for your downloaded Disney+ Content to remain available for offline viewing. The length of time that certain temporary downloads remain available to you for offline viewing may change from time to time at our discretion.

e. Profiles. Disney+ offers the option to personalize use of the Disney+ Service through the creation of one or more profiles under one account. You may designate a profile as a Kid profile, which will restrict viewing of certain Disney+ Content from within that profile. Please visit our Help Center if you would like more information about Kid profiles.

f. Disney+ Content Availability. Certain Disney+ Content available through the Disney+ Service subscription may not be available in all countries or territories within the Territory. Geographic restrictions will be enforced according to the location from which you are accessing the Disney+ Service, and we may use different technologies and methods to verify your geographic location.

g. Future Unavailability. It is possible that the Disney+ Service, and/or some or all Disney+ Content may not be available for streaming or downloading at any given time including (i) during any maintenance or update periods; (ii) any power or server outages; (iii) as a result of war, riots, strikes, social unrest; or (iv) as a result of other matters beyond the control of us or third parties. Disney will take reasonable efforts to provide you with as much prior notice as possible; however, Disney shall have no liability to you in such event. There may be times when we have to remove certain features or functionality and/or devices or platforms from being able to access Disney+ Service. We will do our best to let you know of any of these changes, usage rules and restrictions, but you acknowledge that we may do so in our sole discretion at any time without notice. You also agree that we will not be liable to you for any modification, suspension or discontinuance of the Disney+ Service, although if you are a subscriber and we suspend or discontinue your subscription to the Disney+ Service, we may, in our sole discretion, provide you with a credit, refund, discount or other form of consideration. However, if we terminate your account or suspend or discontinue your access to the Disney+ Service due to your violation of the Subscriber Agreement, then you will not be eligible for any such credit, refund, discount or other consideration.

h. Promotional and Experimental Features. In our continued assessment of the Disney+ Service, we may from time to time, with respect to any or all of our users, experiment or otherwise offer certain features or other elements of the Disney+ Service, including promotional features, user interfaces, plans and pricing. Your use of any updates, modifications to, or replacement versions of Disney+ shall be governed by this Subscriber Agreement and any additional terms you agree to when you install such update, modification, or replacement version.

5. USE AND SHARING OF CERTAIN INFORMATION

For more information about our collection, use, and sharing of your information please refer to our PRIVACY POLICY, which is incorporated herein by this reference.

Disney reserves the right to, and you agree that Disney may, release your details to system administrators at other sites and to law enforcement agencies in order to assist them in resolving security incidents and violations of law.

6. SUSPENSION AND TERMINATION

You agree that Disney may, in its sole discretion and without notice or liability to you, restrict, suspend, or terminate your access to part or all of the Disney+ Service, and to any Disney+ Content if Disney believes you are using or have used the Disney+ Service in violation of the Subscriber Agreement or applicable law or regulations or in any manner other than for their intended purpose and in accordance with all other guidelines and requirements applicable thereto. Without limiting the foregoing, Disney may restrict or suspend your access to your Disney+ account for cause and upon reasonable notice to you, which may be communicated electronically, which cause includes but is not limited to (a) requests from law enforcement or other government authorities, (b) unexpected technical issues or problems, or (c) if Disney reasonably believes that your Disney+ account has been created fraudulently, your Disney+ account has been accessed fraudulently, or anyone uses your Disney+ account to commit fraud or for any purpose other than its intended purpose and in accordance with all of the requirements applicable thereto. Disney also reserve the right, after notice to you, to terminate any Disney+ account that remains inactive for one year (failure to log in to your Disney+ account will constitute inactivity for purposes of this Agreement).

You agree that Disney will not be liable to you or to any third party for any such restriction, suspension, or termination of your access to Disney+ Service, Disney+ Content or your Disney+ account.

UPON TERMINATION OF YOUR DISNEY+ SERVICE, WHETHER TERMINATED BY DISNEY, OR AT YOUR REQUEST (OTHER THAN A CANCELLATION OF YOUR SUBSCRIPTION, IN WHICH CASE YOUR SUBSCRIPTION WILL CONTINUE TO THE END OF THE BILLING PERIOD), YOU WILL IMMEDIATELY LOSE THE RIGHT TO ACCESS STREAMED CONTENT THROUGH THE DISNEY+ SERVICE AND WITHIN A LIMITED PERIOD WILL LOSE THE RIGHT TO VIEW DISNEY+ CONTENT DOWNLOADED WITHIN THE DISNEY+ SERVICE.

7. ADDITIONAL PROVISIONS

a. You understand and agree that the Disney+ Content you receive through the Disney+ Service is intended for informational and entertainment purposes only; it does not constitute legal, financial, professional, medical or healthcare advice or diagnosis and cannot be used for such purposes.

b. Content Subjectivity. Disney+ Content tends to elicit varying reactions among different people. You may come across Disney+ Content that you find offensive, indecent, explicit or objectionable. Also, content ratings, types, genres, categories, and/or descriptions are provided as suggestions to help with navigation and for informational purposes. We do not guarantee that you will agree with them. You acknowledge these risks and your responsibility for making your own choices regarding what Disney+ Content is appropriate for your family.

c. Photosensitivities. Disney+ Content may contain some flashing lights sequences or patterns which may affect users who are susceptible to photosensitive epilepsy or other photosensitivities. Additionally, 4K UHD HDR content versions enable greater brightness and color saturation which may also affect users.

d. Content Quality. We use various technologies to provide you with an optimal viewing experience. For example, HD quality is available for certain Disney+ Content and 4K Ultra HD quality is available for certain Disney+ Content. That said, the playback quality of Disney+ Content, including resolution, may be affected by the format of the Disney+ Content, your location, the speed, bandwidth and specific terms of your Internet service, and the devices used, among other factors. The time it takes you to begin viewing Disney+ Content will vary based on a number of factors, including your location, Internet bandwidth, the number of devices simultaneously connecting to the same network, the Disney+ Content you have selected, and the configuration of the device you are using. As a result, we are unable to make any warranties about the Disney+ Content in these respects.

e. Third-Party Services and Content. The Disney+ Service may integrate, be integrated into, or be provided in connection with third-party services and content. If you access the Disney+ Service using a third-party service or device (for example, an Apple iOS, Android or Microsoft Windows-powered device) then Apple Inc., Google, Inc. or Microsoft Corporation, respectively, or another such company that offers a third-party service or device, shall be a third-party beneficiary to this contract. However, these third-party beneficiaries are not a party to this contract. You agree that your access to the Disney+ Service using these devices also shall be subject to the usage terms set forth in the applicable third-party beneficiary's terms of service.

f. Mobile Networks. When you access the Disney+ Service through a mobile network, your network or roaming provider's messaging, data and other rates and fees will apply. Downloading, installing or using the Disney+ Service may be prohibited or restricted by your network provider and the Disney+ Service may not work with your network provider or device.

g. Submissions and Unsolicited Ideas Policies. Our policy does not allow us to accept or consider unsolicited creative ideas, suggestions or materials. In connection with anything you submit to us, whether or not solicited by us, you agree that creative ideas, suggestions or other materials you submit are not being made in confidence or trust and that no confidential or fiduciary relationship is intended or created between you and us in any way, and that you have no expectation of review, compensation or consideration of any type. Disney does not claim ownership over any ideas, suggestions, or other materials submitted; however, as to such materials, you grant us a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights to use, reproduce, transmit, display, create derivative works, or otherwise exploit them for any purpose without limit as to time, manner and frequency of use, without further notice to you, with or without attribution, and without the requirement of permission from or payment to you or any other person or entity.

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL THE DISNEY PARTIES BE LIABLE FOR ANY PERSONAL INJURY, OR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS AND PROPERTY DAMAGE, EVEN IF THE DISNEY PARTIES WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE THE DISNEY+ CONTENT OR THE DISNEY+ SERVICE, HOWEVER CAUSED, NOR SHALL THE DISNEY PARTIES BE HELD LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND THE REASONABLE CONTROL OF THE DISNEY PARTIES. IN NO EVENT SHALL THE TOTAL LIABILITY OF THE DISNEY PARTIES TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED ONE THOUSAND U.S. DOLLARS (U.S. $1,000). THE LIABILITY LIMITATIONS IN THIS SECTION APPLY UNDER ANY LEGAL THEORY (TORT, CONTRACT, BREACH OF WARRANTY, STRICT LIABILITY OR OTHERWISE) EVEN IF THE DISNEY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

i. DISCLAIMERS OF WARRANTY; LIABILITY LIMITATION. YOU ACKNOWLEDGE AND AGREE TO THE ESSENTIAL CONDITION THAT THE DISNEY+ CONTENT AS WELL AS THE DISNEY+ SERVICE ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, DISNEY, AND OUR AFFILIATES, LICENSORS, AGENTS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "DISNEY PARTIES") EACH EXPRESSLY DISCLAIMS ANY WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, COMPATIBILITY, SATISFACTORY QUALITY AND NONINFRINGEMENT, AND THEIR EQUIVALENTS UNDER THE LAWS OF ANY JURISDICTION. YOU ALSO ACKNOWLEDGE AND AGREE THAT THE DISNEY PARTIES DO NOT WARRANT THAT THE DISNEY+ CONTENT AND THE DISNEY+ SERVICE WILL BE WITHOUT ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS. THE DISNEY PARTIES DO NOT WARRANT OR OTHERWISE STATE THAT THE DISNEY+ CONTENT AND THE DISNEY+ SERVICE WILL MEET YOUR REQUIREMENTS. YOU AND NOT THE DISNEY PARTIES ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION OCCASIONED BY USE OF THE DISNEY+ CONTENT AND THE DISNEY+ SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

THE DISCLAIMERS OF WARRANTY AND/OR LIABILITY LIMITATION SHALL NOT APPLY TO CASES BASED ON THE WILLFUL MISCONDUCT OR GROSS NEGLIGENCE OF DISNEY PARTIES.

j. Choice of Forum. You agree that the Tokyo District Court shall have exclusive jurisdiction for the first instance over any action arising out of or relating to this Agreement.

k. Choice of Law. This Agreement is governed by and construed in accordance with the laws of Japan.

l. Prevailing Language. The Disney+ Subscriber Agreement may also be available to you in Japanese language. You acknowledge and agree that in the event of discrepancy between the Japanese version and the English version, the Japanese version shall prevail. You also acknowledge and agree that if any future amendments or communications are sent by the Disney+ Service in a different language as selected by you, those future amendments and communications shall be valid and in the case of amendments, shall be effective in law.

m. Severability. If any provision of this Agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from the Agreement and shall not affect the validity and enforceability of any remaining provisions.

n. Survival. The provisions of this Agreement which by their nature should survive the termination of this Agreement shall survive such termination.

o. Entire Agreement. This Subscriber Agreement and the provisions referenced herein, constitute the entire agreement between you and Disney pertaining to the subject matter hereof and supersedes all prior or other arrangements, understandings, negotiations and discussions, whether oral or written. No waiver of any of the provisions of the Subscriber Agreement shall be deemed or shall constitute a waiver of any other provisions hereof (whether or not similar), nor shall such waiver constitute a continuing waiver unless otherwise expressly provided.
